Abstract
Market manipulation is conduct which involves the intention to create an undue effect on the prices of securities traded within the capital market, as well as on the balance between supply and demand, or on the decision-making of investors. For capital markets to function properly, they need to be a transparent, efficient, stable and fair environment, and the rights and interests of investors need to be protected. In this context, it is important to prevent manipulative practices aimed at creating an undue effect on the price of securities traded on capital markets, the balance between supply and demand or the decision-making process of investors. Although different regulations were introduced under the Capital Markets Act No. 6362 to prevent investors from incurring losses, the method of compensating investors for losses caused by market manipulation is not expressly provided for. A person who has committed market manipulation shall be liable for compensation for losses suffered by investors as a result of such manipulation in accordance with the specific provisions applicable. This study will examine how stock market manipulation occurs, the liability for compensation of the person who causes it under the Turkish Code of Obligations No. 6098, whether that person can also be held liable for non-pecuniary damages, and how such liability is regulated in international law.
