SAHİPLİK YOĞUNLAŞMASINA GÖRE SİNYAL TEORİSİNİN GEÇERLİLİĞİ: BORSA İSTANBUL UYGULAMASI

Özet

Bu çalışmada ortaklık yapısı/sahiplik yoğunlaşmasına göre sinyal teorisinin (temettünün bilgi içeriği) geçerliliği araştırılmıştır. Sahiplik yoğunlaşmasının ölçüsü olarak şirketlerin halka açıklık oranı kullanılmıştır. Çalışmanın veri dönemi 2010-2018 arası yıllar olup örneklemini Borsa İstanbul’a kote olan imalat sanayi şirketleri oluşturmaktadır. Sinyal teorisinin geçerliliği, temettü duyurularının hisse senedi fiyat etkisi (olay etüdü) yöntemi ve temettü değişimleri ile gelecek yılların kâr değişimleri arasındaki ilişkinin incelenmesi ile test edilmiştir. Her iki analiz sonucunda sahiplik yoğunlaşmasına göre sinyal teorisinin geçerliliğinde önemli farklılıklar tespit edilmiştir. Sahiplik yoğunlaşması düşük (halka açıklık oranı yüksek) şirketlerde sinyal teorisinin geçerli olduğu, sahiplik yoğunlaşması yüksek şirketlerde ise söz konusu teorinin geçerli olmadığı belirlenmiştir. Bir başka ifade ile sahiplik yoğunlaşması arttıkça sinyal teorisinin zayıfladığı anlaşılmıştır. Elde edilen bulgular sinyal teorisinin kavramsal yapısına ve özüne uygundur. Bu bulgular sinyal teorisinin geçerliliğine yönelik yapılacak ampirik çalışmalarda sahiplik yapısının dikkate alınması gerektiğini ortaya koymuştur.

Abstract

In this study, the validity of signalling theory (information content of dividend) according to ownership structure/concentration was researched. As a measure of ownership concentration, the free float ratio of companies was used. The data period of the study is between the years 2010-2018 and the sample is composed of manufacturing companies listed on Istanbul Stock Exchange. The validity of the signalling theory was tested by examining stock price effect of dividend announcements (event study method) and by examinig the relationship between dividend changes and and profit changes in the years following the dividend change. It was determined that signalling theory is valid in companies with low ownership concentration (high free float ratio) and that theory is not valid in companies with high ownership concentration. In other words, it is understood that as the concentration of ownership increases, signal theory weakens. The findings are in accordance with the essence of signalling theory. These findings revealed that ownership structure should be taken into consideration in empirical studies on the validity of signalling theory.
