Özet

şyeri kavramı iş hukukunun temel kavramları arasında yer almakta olup 4857 sayılı İş Kanu nu’nun 2 nci maddesine göre “İşveren tarafından mal veya hizmet üretmek amacıyla maddî olan ve olmayan unsurlar ile işçinin birlikte örgütlen diği birime işyeri denir.” İş hayatında ekonomik sebeplerle işyerleri tamamen ya da kısmen dev redilmekte ve bu suretle işçinin bağlı olduğu iş veren de değişmektedir. İşyerinin veya bir bölümünün devri İş Kanu nu’nun 6 ncı maddesinde düzenlenmiştir. Türk Borçlar Kanunu’nun (TBK) 202 nci maddesi “Mal varlığının veya işletmenin devralınması”nı, Türk Ticaret Kanunu’nun (TTK) 178 inci maddesi de “İş ilişkilerinin geçmesi” konusunu düzenlemiştir. Hisse devrinin işyeri devri oluşturup oluş turmayacağı ve hisselerin bir başka işverene devri halinde işverenlerin sorumluluğu ka nunda düzenlenmemiştir. Hisse devrinin işyeri devri oluşturup oluşturmayacağı işverenin iş çilere karşı sorumluluğu bağlamında önemli olup bu bağlamda tek bir ortağın ya da bütün ortakların hisse devrinin sonuçlarının ne ola cağı tartışılması gereken konulardır. Çalışmamızda işyeri devrinin koşulları, iş yeri devrine yol açan nedenler, hisse devrinin ne olduğu, hisse devrinin işyeri devri olarak nitelendirilip nitelendirilmeyeceği öğreti ve Yargıtay görüşleri çerçevesinde değerlendiri lecektir.

Abstract

The concept of the workplace is one of the fundamental concepts in labor law and is de fined as “The unit wherein employees and ma terial and immaterial components are organ ised in order to guarantee the production of goods and services by the employer.” according to Article 2 of the Labor Law numbered 4857. In working life, workplaces are fully or partially transferred due to economic reasons and, thus, the employer under whom the employees work also changes. The transfer of the workplace or a part of it is regulated under Article 6 of the Labor Law. Additionally, Article 202 of the Turkish Code of Obligations (“TCO”) regulates “the takeover of an asset or business”. Moreover, Article 178 of the Turkish Commercial Code (“TCC”) regulates “the transfer of working relations”. The question of whether share transfer would result in the transfer of the workplace and the responsibility of the employers in the event the shares are transferred to another employer are not regulated under the law. The question of whether the share transfer could be regarded as the transfer of the workplace is also important with respect to the responsibilities of the employer towards his/her employees. In this regard the consequences on the partner or all partners as a result of the share transfer are matters which must be discussed. In this study, the conditions of the workplace transfer, the reasons which result in the transfer of the workplace, the meaning of share trans fer, and whether the transfer of shares may be regarded as the transfer of the workplace shall be evaluated within the scope of doctrine and opinions of the Court of Cassation.
