Özet

Cezai şart, borca aykırılık riski karşısında alacağın teminat altına alınmasına yönelik bir hukuki araçtır. Cezai şart sayesinde alacaklı, borçlunun borcuna aykırı davranması halinde, zararını ispat etmek zorunda kalmaksızın belirli bir edimin ifasını talep etme hakkını elde eder. Sözleşme özgürlüğü ilkesi doğrultusunda taraflar cezai şartın miktarını serbestçe belirleyebilir. Ancak cezai şart miktarı, menfaatler dengesi bakımından hakkaniyete aykırı olacak biçimde yüksek tespit edilemez. Aksi halde cezai şartın aşırı olması gündeme gelir. Bu gibi hallerde hâkimin sözleşmeye müdahale etmesi ve aşırı cezai şartı kendiliğinden indirmesi söz konusudur. Tacirlerin taraf olduğu hukuki işlemlerde de cezai şarta ilişkin hükümlere yer verildiği görülmektedir. Ancak kanun koyucu tacir sıfatını taşıyan borçlular bakımından aşırı cezai şartınindirilemeyeceğini hükme bağlamıştır. Zira kanun gereği tacirler, ticari işletmeleriyle ilgili her türlü işlemleri sırasında basiretli birer iş adamı gibi hareket etmek zorundadır. Aşırı cezai şartın indirilemeyeceği kuralı, yalnızca tacirler bakımından geçerlidir. Dolayısıyla tacir olmayan veya kanun gereği tacir sayılmayan kişiler aşırı cezai şartın indirilmesini talep edebilecektir. Bununla birlikte söz konusu hukuki işlemin ticari işletmelerini ilgilendirmemesi halinde tacirler de aşırı cezai şartın indirilmesini talep edebileceklerdir. Ayrıca yargı kararlarında, hakkaniyetin gerektirdiği durumlar ile iş kanununa tabi hukuki ilişkilerde tacirlerin aşırı cezai şartın indirilmesini talep edebilecekleri kabul edilmektedir. Öte yandan genel hükümler çerçevesinde cezai şartın bağlı olduğu asıl borcun veya cezai şart borcunun geçersiz olduğu durumlarda bundan tacirler de yararlanacaktır.

Abstract

The penal clause is a legal instrument which guarantees credit in the event of breach of debt. Thanks to penal clause, the creditor shall has the right to request the execution of a certain deed without having to prove his damages in case of debtor violate his debt. Accordance with the principle of freedom of contract the parties may freely determine the amount of penal clause. However, the amount of penal clause can not be determined higher that would be contrary to equitable in terms of balance of interests. Otherwise, it comes into play the penal clause is excessive. In such cases it comes into play the judge intervene the contract and reduce excessive penal clause ex-officio. It seems legal transactions whose party ise merchants also include rules concerning penal clause. However, the legislator has decreed that the penal clause couldn’t reduce with regard to debtors holding the title of merchant. Because merhants are required by law, has to move as a prudent businessman during all kinds of transactions related to their commercial enterprises. The rule that the excessive penal clause doesn’t reduce ise only valid in terms of merhants. Therefore, the persons who are not merchant or not considered merchant by law will be able to demand the reduction of excessive penal clause. However, also merchants will be able to demand the reduction of excessive penal clause in the event that the called legal transaction is not related to their commercial enterprises. In addition, it is accepted in judicial decisions that the merchants may demand the reduction of excessive penal clause in case of circumstances reguired by equity and legal transactions subject to labour law. On the other hand, merchants will also benefit from circumstances that the main obligation which the penal clause is connected to or debt of penal clause are invalid.
