CORPORATE GOVERNANCE PRACTICES AT NONPUBLICLY HELD TURKISH COMPANIES *

Özet

Bu çalışmanın amacı, Türkiye'de faaliyet gösteren ve halka açık olmayan şirketlerin kurumsal yönetim çatısı altında ne derece kurumsal yönetim ilkelerini hayata geçirmiş olduklarını anlamaya ışık tutmaktır. Ayrıca bu ilkeleri, şeffaflık ve hesap verebilirlik noktasında hayata geçirmede bu şirketlerin önceliklerini de tahlil etmeyi amaçlamaktadır. Araştırma verileri Serbest Muhasebeci ve Mali Müşavirlerden oluşan meslek mensuplarından anket yoluyla toplanmıştır. Çalışmanın bulguları, halka açık olmayan şirketlerde uygulanan kurumsal yönetim ilkelerinin güncel seviyesine ışık tutacaktır. Son olarak, bütünsel anlamda şeffaf ve hesap verebilir bir yapıyı hayata geçirmek için yapılması gerekenleri sıralamada gerek sektöre gerekse akademik çevrelere destek sağlayacaktır.

Abstract

The aim of this study is to exhibit the current situation for all non-publicly held companies in Turkey with respect to corporate governance and to present the degree to which they implement corporate governance and its applications in their organizational structures and to understand what kind of priorities their management organs have in this respect within transparency and accountability. Data is collected from Certified Public Accountants by a questionnaire. The results of this study shed a substantial light on the current corporate governance practices within non-publicly held companies and prioritize what actions to be taken for the wholesome establishment of transparency and accountability.
