TACİRİN BASİRETLİ İŞ ADAMI GİBİ HAREKET ETME YÜKÜMLÜLÜĞÜ BAĞLAMINDA SÖZLEŞMENİN DEĞİŞEN KOŞULLARA UYARLANMASI

Özet
Ekonomide ve ticari hayatta beklenmedik ve/veya önemli durum değişiklikleri halinde, sözleşmenin kurulmasından sonraki süreçte, söz-leşmeyi uyarlama ihtiyacı doğabilmektedir. Sözleşmenin uyarlanması, TBK madde 138 ile düzenlenmiş ve sözleşmenin uyarlanması belli ko-şullara bağlanmıştır. Bu koşullardan en temeli, sözleşme kurulduktan sonraki bir değişikliğin, sözleşmenin kurulduğu esnada taraflarca önce-den öngörülememesi veya bu öngörmenin taraflardan beklenememesine ilişkindir. Bu koşul, önceden görülemezlik şartı olarak anılmaktadır. Taraflardan birinin tacir olması halinde, sözleşmeden kaynaklanan konular kural olarak ticari iş olarak nitelendirilmektedir. Bunun bir so-nucu olarak, sözleşmenin yorumlanmasında TTK hükümlerinin dikkate alınması bir zorunluluktur. Bu kapsamda, TTK madde 18’de düzenlenen tacirin basiretli iş adamı gibi hareket etme yükümlülüğü, ağırlaştırılmış bir özen yükümlülüğüdür. Tacirin, tacir olmayan kimselere kıyasla daha tedbirli ve öngörülü olması beklenmektedir. Bu nedenle önceden görü-lemezlik ilkesinin yerine getirilebilmesi, tacirler bakımından zorlaşmak-tadır. Bu çalışmamızda, Yargıtay’ın basiretli iş adamı gibi hareket etme ilkesi bağlamında tacirlerin akdettikleri sözleşmelerin uyarlanması husu-suna bakış açısı irdelenmiş, tacirlerin basiretli iş adamı gibi hareket etme yükümlülüğü uyarınca, özellikle ekonomik koşullardaki değişiklikler sebebiyle sözleşmelerin uyarlanması değerlendirilmiştir.
Abstract
In case of any unexpected and/or significant changes of status in economics and business life, the need to adapt the contract may arise as consequence of such changes in current conditions following the conclu-sion of the contract. Adaptation of contract has been regulated in the Article 138 of Turkish Code of Obligations and the conditions for adap-tation of contract are stipulated. Main condition is that the parties can-not foresee any change of status, which will occur after concluding the contract, at the time of conclusion of the contract, or such foresight can-not be expected from parties. This condition is called condition of un-foreseeable. In case one of the parties is merchant, matters arising from con-tract will be determined as commercial affair in principle. As a result, it is obligatory to consider articles of Turkish Commercial Code when construing the contract. In this regard, the obligation of the merchant to act as prudent businessperson, which has been regulated in the article 18 of Turkish Commercial Code, requires aggravated due diligence. Merchant is expected to be more cautious and foresighted than non-merchants. Therefore, it becomes more difficult for merchants to fulfill the principle of unforeseeable. It is hereby studied the perspective of the Court of Cassation in terms of principle of prudent merchant and adaptation of the contracts concluded by the merchants in this regard, and the matter is hereby evaluated regarding the adaptation of the contracts due to the changes in economics particularly pursuant to the obligation of the merchants to act as prudent businessperson.
