Özet

Tarihî süreç boyunca borcun ifa edilmemesi düzenlemelerimizin temelinde yer alan imkânsızlık kavramı, artık modern ekonomik düzen içinde sahip olduğu önemi yitirmiş görünse de; Türk Borçlar Kanununun yapımı aşamasında bu kavramı temeline oturtmayan borca aykırılık sistemleri dikkate alınmayarak eski sistemin aynı şekilde devamı sağlanmıştır. Bu sistemin eleştiriye açık yanlarından bir tanesini de, birbirinden tamamen farklı rejimlere tâbi tutulan başlangıçtaki imkânsızlık-sonraki imkânsızlık ayrımı oluşturmaktadır. Sözleşmenin butlanı yaptırımına yol açan başlangıçtaki imkânsızlık hallerinde, bu imkânsızlığın borçlu tarafından bilindiği durumlarda culpa in contrahendo sorumluluğunun işletilerek butlan yaptırımının uygulama alanının daraltılması, hem hukuk mantığıyla hem de hukuk vicdanıyla bağdaşan bir çözümdür. Bunun yanında tazminat sorumluluğunun kapsamının belirlenmesinde de alacaklının talepleri yalnız menfî zararları ile sınırlanmamalı, müspet zararlarını da talep edebilmesine olanak tanınmalıdır.

Abstract

The concept of impossibility, which has remained as the fundamental element of our regulations of non-performance throughout the years, has lost its importance within our modern financial system; however, during the enactment of the new Turkish Code of Obligations, new non-performance approaches that do not consider impossibility as their essential element have mainly been ignored and our old system has been preserved. One of the criticizable parts of this system is the distinction between initial impossibility and subsequent impossibility, which are subject to entirely different legal terms and consequences. In the event of an initial impossibility that was known by the debtor during the conclusion of the contract, invoking his culpa in contrahendo responsibility instead of deeming the contract null and void would be a better solution that would cohere with legal reasoning and conscience. Furthermore, when determining the scope of the compensation, creditor’s claims should not be limited with their negative damages and they should also be allowed to claim their positive damages.
