ANONİM ŞİRKETLERDE ORTAKLARIN BİLGİ ALMA VE İNCELEME HAKKI

Özet

6102 sayılı Türk Ticaret Kanununda anonim şirket ortaklarına bazı haklar tanınmış olup, bu haklardan birisini de bilgi alma ve inceleme hakkı oluşturmaktadır. Söz konusu hak, esas sözleşmeyle ve şirket organlarından birinin kararıyla kaldırılamaz ve sınırlandırılamaz. Bilgi alma ve inceleme hakkının ne şekilde kullanılacağı anılan Kanunda detaylı olarak açıklanmıştır. Bu kapsamda bilgi verilmesi, sadece, istenilen bilgi verildiği takdirde şirket sırlarının açıklanacağı veya korunması gereken diğer şirket menfaatlerinin tehlikeye girebileceği gerekçesi ile reddedilebilir. Ancak, bilgi alma veya inceleme istemleri cevapsız bırakılan, haksız olarak reddedilen, ertelenen ya da Kanuna uygun olarak bilgi alamayan şirket ortakları mahkemeye başvurabilir. İşte bu çalışmada, anonim şirketlerde ortakların bilgi alma ve inceleme hakkı tüm yönleriyle ele alınmış ve değerlendirilmiştir

Abstract

In the Turkish Commercial Code (TCC) number 6102, some rights are granted to shareholders of joint-stock company and it is also the right of access to review and information one of these rights. This right may not be removed or restricted under the articles of association and any resolution of one of the company organs. It is explained in detail in the Code that the right to obtain information and review can be used. In this context, the provision of information may be withheld only if the trade secrets of the company would be disclosed or other company interests required to be protected would be compromised if such information were provided. However any shareholder whose request for access to information has remained unanswered, been rejected unfairly or postponed resulting in a failure to access such information in this Code shall be entitled to resort to the court. Here, in this study, right to obtain information and review of the shareholders in the joint stock companies has been evaluated in all respects
