Özet
Kanun koyucu 2012 yılında yürürlüğe giren 6362 sayılı Sermaye Piyasası Kanunu (SerPK) m. 106 hükmünde bilgi suistimali suçuna yer vermiştir. Bilgi suistimali suçu, Türk hukukuna ilk olarak 1992 yılında 2499 sayılı Sermaye Piyasası Kanununda yapılan değişiklikle girmiştir. Mülga 2499 sayılı kanun döneminde “içeriden öğrenenlerin ticareti” olarak düzenlenen bu suç tipi, yürürlükteki kanunda “bilgi suistimali” adıyla düzenlenmiştir. Kanun koyucu, mülga düzenlemeden farklı olarak 6362 sayılı SerPK’da, sermaye piyasasında gerçekleştirilen suç tiplerine tek bir hüküm altında saymak suretiyle yer vermemiş, son derece isabetli olarak bunları ayrı maddeler halinde düzenlemiştir. Bu çalışmada anılan suç tipinin unsurları, özellikle Avrupa Birliği mevzuatında ve karşılaştırmalı hukukta yer alan düzenlemeler de göz önünde bulundurularak yakından incelenecek, tartışmalı olan hususlara değinilmeye gayret edilecektir.
Abstract
The offence of insider trading is regulated under Art. 106 Turkish Capital Market Code. It included information abuse 106 in its judgment. The first regulation, issuing the offence of insider trading, first entered Turkish Law in 1992 with the amendment made in the Capital Market Law. This offence was primarily regulated under the name of “trade of insiders” during the abolished law period. However unlike the previous terminology it is seen that, the legislator adopted a new terminology for this offence and regulated under the name of “information abuse” in the current law. Unlike the abolished provision, the legislator did not include the offences in the capital market by counting them under a single provision, and arranged them as separate provisions with the utmost accuracy. In scope of this article the elements of the offence mentioned will be examined closely, especially considering the regulations in the European Union legislation and under the light of comparative law, and controversial issues will be addressed.
