Özet
Bağlanma parası sözleşme görüşmelerinin bittiği ve sözleşmenin kurulduğuna kanıt olarak, bir tarafın diğer tarafa sözleşme kurulurken verdiği bir miktar paradır. Cayma parasında ise, sözleşmenin yapılması sırasında taraflardan biri diğerine bir miktar para verir ve aralarındaki açık ya da örtülü anlaşmaya göre parayı verenin verdiği parayı, parayı alanda bırakması; parayı alanın da aldığının iki katı tutarı karşı tarafa ödemesi karşılığında sözleşmeden dönme yetkisine sahip olunur. 6098 Sayılı Türk Borçlar Kanunu’nun “Genel Hükümler” başlıklı birinci kısmının “Borç İlişkilerinde Özel Durumlar” başlıklı dördüncü bölümünün üçüncü ayrımında bağlanma parası, cayma parası ve ceza koşulu (TBK m. 177-182) bir arada düzenlenmiştir. Kanun koyucunun bu üç farklı kurumu aynı çatı altında düzenlemiş olmasının sebebi, aralarındaki benzerliklerdir. Bu üçü, aralarında birçok yönden benzerlikler bulunmasına rağmen, aslında nitelik olarak birbirinden farklı kavramlardır. Özellikle ceza koşulu diğer kurumlardan epey farklı özellikler taşımaktadır. Kanunun bu sistematik tercihi karşısında, uygulamada bu üç kavramın birbiriyle karıştırılması konusunda karşılaşılan sorunlar; özellikle bağlanma parası ve cayma parasına ilişkin hükümlerin yorumlanmaya ihtiyaç duyması sebebiyle bağlanma parası ve cayma parası konu ları açığa kavuşturulmalı ve bu iki kurumun ceza koşulu ile gerek benzerlik gerek farklılık bakımından kesiştiği noktalar tespit edilmelidir.
Abstract
Bargain money is a some of money that is given at the time of contract; the purpose here is to prove that the contract negotiations are over and the contract is established. If one of the parties gives a sum of money to the other party at the time of conclusion of the contract, according to the explicit or implicit agreements between the parties of the contract the parties are entitled to renege on a contract on condition that party who gave the money will lose the money that gave by him and the party who received the money will pay double the amount of the money to the other party. In this case, forfeit money is in question. Bargain money, forfeit money and penal clause had been settled at the third division of the fourth chapter entitled "Special Cases in the Debtor-Creditor Relationship" of the first part of the Turkish Code of Obligations entitled "General Provisions" (The Turkish Code of Obligations article 177-182) all together. Legislator had been settled these institutions that three of these are different from each other. The reason for this is similarity between them. Although there are many similarities between these three institutions, they have actually different legal character. Especially, there is a considerable difference between the penal clause and both the bargain money and forfeit money. The provisions regarding bargain money and forfeit money are in need of interpretation because of the problems that we are encountered in practice originating from that these three concepts are confused with each other and because of this systematic preference of the law. Therefore, the topics regarding bargain money and forfeit money must be made explicit; the matter concerning "on which points are crossed paths in terms of similarity and difference between these two institutions and penal clause?" must be determined.
