Özet

Türk Borçlar Kanunu (TBK)’nun 502 vd. maddelerinde düzenlenen vekâlet sözleşmesi, vekâlet veren ile vekil arasında akdedilen, vekilin vekâlet verenin menfaatine ve iradesine uygun bir sonuca yönelik işgörmeyi üstlendiği bir sözleşmedir. Vekâlet sözleşmesinde vekilin üstlendiği işgörme borcu belli bir süre kısıtlaması olmaksızın görülür ve sonucun gerçekleşmemesi rizikosu da vekilin üzerinde değildir. Vekâlet sözleşmesi, hukuki niteliği itibariyle sürekli borç ilişkisi doğuran, rızai bir sözleşme olup; ücretin vekâlet sözleşmesinin zorunlu bir unsuru olmaması nedeniyle vekâlet sözleşmesi, eksik iki tarafa borç yükleyen bir sözleşmedir. Tarafların sözleşmede ücret kararlaştırmaları durumunda ise vekâlet sözleşmesi, tam iki tarafa borç yükleyen sözleşme halini alır. Bu açıdan vekâlet sözleşmesi, yapısı gereği diğer işgörme sözleşmelerinden ayrılmaktadır. Bu anlamda olmak üzere inceleme konumuzu vekâlet sözleşmesinde vekâlet verenin borçları oluşturmaktadır. Ancak vekâlet verenin, kararlaştırılması şartıyla, vekâlet sözleşmesinden doğabilecek olan ücret ödeme borcu çalışmamızın kapsamı dışında yer almaktadır.

Abstract

Proxy contracts, are regulated as freelance contracts under articles 502- 514 of the Turkish Code of Obligations, are concluded between a principal and a proxy holder, in which the holder undertakes a certain activity that is for the benefit of the principal. There is no set time condition for the performance of the activity and the proxy holder does not assume the risk of performance. Proxy contracts produce a continuous relation based on consent and where the fee is not an essential aspect of the contract, the obligations could be asymetrical. However, in the case where the parties negotiated on a spesific fee, the obligations of the parties must be symetrical. The scope of this article involves the obligations of the principal within proxy contracts, excluding the matter of the obligation of the principal for the payment of the fee.
