Abstract
In this paper, the participation of the members of the board of directors to the general assembly at the joint-stock company is analyzed both in terms of right and obligations. In addition, in this paper, types of general assembly meetings to be attended by board members and the conclusions of breach of the right and obligation to participate in the general assembly have been discussed.
Özet
Makalede yönetim kurulu üyelerinin ve murahhasların anonim şirket genel kuruluna katılımı hem hak hem yükümlülük boyutu ile incelenmektedir. Ayrıca çalışmada, yönetim kurulu üyelerinin katılacağı genel kurul toplantı türleri hakkında açıklamalarda bulunulmuş ve genel kurula katılma hak ve yükümlülüğünün ihlalinin neticelerine de değinilmiştir.
