Abstract
The joint-stock company is prohibited from repayment of paid-in share capital to the shareholders. As such, it is also contrary to law for the shareholders to borrow funds from the company or be paid interest on the capital if the legal requirements are not met. It is forbidden for the shareholder who is a debtor to be funded with corporate funds to pay that debt. However, all payments by the company to the shareholder are not of this type.

Anonim şirketin pay sahiplerine ödenmiş sermayeyi iade etmesi yasaktır. Kanunî şartları bulunmadığında pay sahibinin şirkete borçlanması veya sermaye için faiz ödenmesi de bu anlamda hukuka aykırıdır. Sermaye borçlusu olan pay sahibinin bu borcunu ödeyebilmesi için şirket kaynaklarıyla finanse edilmesi yasaktır. Fakat şirket tarafından pay sahibine yapılan tüm ödemeler bu nitelikte değildir.
