Under the economic substance doctrine u.s. tax court’s view of the stars transaction

Abstract

The “Economic Substance” doctrine, built by the American federal courts, based on two main prongs called “objective economic substance” and “subjective business purpose”.First one of this prongs is whether a transaction had economic substance beyond tax benefits (objective prong). Second one is whether or not the taxpayer had shown a non- tax business purpose for entering into the disputed transaction (subjective prong). As an continuous controversy about if both subjective and objective prongs must be found together in a transaction, the United States Courts of Appeals applies a flexible analysis in assessing economic substance. The analysis evaluates both the subjective business purpose of the taxpayer for engaging in the transaction and the objective economic substance of the transaction. In this article, considering the important aspects of Structured Trust Advantaged Repackaged Securities Transaction (STARS) upon the international banking system, an analysis is going to be done by assessing if the STARS transaction is valid in terms of Tax Law. Very current decision of the U.S. Tax Court called “Bank of N.Y. Mellon Corp. v. Comm'r,” (February 2013) will be evaluated in light of economic substance doctrine.

Özet

Amerikan vergi yargısında ticari işlem ve sözleşmelerin vergi hukukuna özgü yorumlanmasına yönelik geliştirilen “ekonomik esas” (Economic Substance) doktrinin biri objektif, diğeri sübjektif olmak üzere iki önemli varsayımı vardır.1 Birincisi bir ticari işlemin vergisel avantaj dışında bir ekonomik esasın olması (objective economic substance), ikincisi ise vergi yükümlüsünü uyuşmazlık konusu sözleşmeyi yapmaya sevk eden vergisel olmayan bir ticari amacının bulunmasıdır (sübjektif business purpose)2.Federal mahkemelerin geliştirdiği içtihatlarda söz konusu ticari işlemlerin geçerliliği açısından objektif ekonomik esasının ve/veya sübjektif amacın birlikte olup olması ya da tek birinin yeterli görülüp görülmemesi konusunda farklı değerlendirmeler mevcuttur. Bu çalışmada, uluslararası finans sistemi açısından oldukça önemli etkileri bulunan “Kredi Fonlarının Menkul Kıymetleri Yeniden Yapılandırma Sözleşmeleri” (STARS) işlemlerinin vergisel anlamda hukuki mahiyeti/geçerliliği hakkında Amerikan Vergi Mahkemesi’nce verilen bir kararın (Bank of N.Y. Mellon Corp. v. Comm'r, Şubat 2013) ekonomik esas doktrini çerçevesinde analizi yapılacaktır.
