Abstract

The Vienna Convention on International Sale of Goods has become a part of Turkish Law since 2011. But was able to find even before the Republic of Turkey is party to the Convention, It could be applied in the event to submit to Convention on private international law the law of a state party to the Convention of the conflict of law rules. In the same way, in the case of the election of the parties to the law of the contract of sale, The Vienna Convention could indirectly find a place of application in the Turkish Law about the sale contracts concerning the movable commodities. From now on, Turkey is a party to the Convention, The Vienna Convention on International Sale of Goods has the opportunity to be applied directly in Turkey. This has made the interpretation of the provisions of the Convention more important in terms of Turkish teaching and practice. No decisions of the Turkish Court of Appeals are yet to be found for this Convention. However, the Convention is already in force and is the primary legal source for many sale contracts. In the foreseeable future, judges, lawyers and arbitrators in international sales contracts will have to investigate and interpret the provisions of The Vienna Convention on International Sale of Goods rather than Turkish Debt Act or the national law of other countries, as will be an increasing requirement beyond a special interest. The number of academic publications in this area is also increasing day by day. For this reason, we tried to explain the general approach to inability perform in the systematic rationale of The Vienna Convention on Contracts for The International Sale of Goods and the various rights and legal possibilities that the buyer has against the vendor in case of the occurrence of nonperformance.

Özet

Viyana Satım Sözleşmesi 2011 yılından itibaren Türk Hukukunun bir parçası haline gelmiştir. Ancak Türkiye Cumhuriyeti Sözleşmeye taraf olmadan önce de milletlerarası özel hukukun kanunlar ihtilafı kurallarının Viyana Satım Sözleşmesi’ne taraf bir devlet hukukuna gönderme yapması halinde uygulanabilmekteydi. Aynı şekilde satım sözleşmesinin taraflarının o devletin hukukunu uygulanacak hukuk olarak seçmeleri halinde de Viyana Satım Sözleşmesi taşınır mallara ilişkin satım sözleşmeleri hakkında dolaylı şekilde Türk Hukukunda uygulama alanı bulabilmekteydi. Artık Türkiye Sözleşmenin bir tarafı haline geldiği için Viyana Satım Sözleşmesi doğrudan uygulama imkanına kavuşmuştur. Bu ise Sözleşmenin hükümlerinin anlaşılmasını ve yorumlanmasını Türk öğreti ve uygulaması açısından daha önemli hale getirmiştir. Henüz bu Sözleşmeye ilişkin Türk Yargıtayının kararlarına rastlanmamaktadır. Ancak halihazırda Sözleşme yürürlüktedir ve pek çok satım sözleşmesi için birincil hukuk kaynağı niteliğindedir. Yakın bir gelecekte, milletlerarası karakter taşıyan satım sözleşmelerinde hâkimlerin, avukatların ve hakemlerin Türk Borçlar Kanunu veya başka ülkelerin milli kanunlarından ziyade Viyana Satım Sözleşmesinin hükümlerini araştırmaları ve yorumlamaları özel bir ilginin ötesine geçerek artan bir gereklilik olacaktır. Bu yöndeki akademik yayın sayısı da her geçen gün artmaktadır. Bu nedenle çalışmamızda Viyana Satım Sözleşmesinin sistematik mantığı içerisinde ifa engellerine genel yaklaşımı ve ifa engellerinin ortaya çıkması halinde alıcının satıcıya karşı sahip olduğu çeşitli haklar ve hukuki imkanlar açıklanmaya çalışılmıştır.
