INDEPENDENCY OF THE INDEPENDENT MEMBERS OF THE BOARD OF DIRECTORS IN THE CONTEXT OF CULTURE: GREY DIRECTORS

Abstract
The impact of cultural norms on the development of social perception in accounting practices is an undeniable fact. This study examines the influence of social culture on the interpretation of transparency principle of corporate governance, within the framework of Gray's model. In this study, reflection of cultural values in the composition of board of directors is examined by identifying the independency of the independent board members within the concept of "grey directors". In this context, resumes of the independent board members of the 50 companies listed in BIST Corporate Governance Index are examined. The relationships of these members to the company and to the group the company belongs to, industry experience of them, the number of female independent members and the number of independent audit committee members are examined by content analysis method. It is determined that 65% of the independent board members are determined to be associated with the companies that they serve as independent board members.

Muhasebenin toplumsal algısının oluşumunda, kültürel normların etkisi yadsınamaz. Bu çalışmada Kurumsal Yönetim İlkelerinden şeffaflık ilkesinin yorumlanmasında toplumsal kültürün etkisi Gray'in modelindeki değerler çerçevesinde incelenmiştir. Çalışmada, yönetim kurullarında yer alan bağımsız üyelerin, gerçekten "bağımsız" üye olup olmadıkları "gri yöneticiler" kavramı ekseninde incelenerek, yönetim kurullarının yapısına kültürel değerlerin yansıması değerlendirilmiştir. Bu bağlamda BİST Kurumsal Yönetim Endeksinde bulunan 50 şirketin bağımsız yönetim kurulu üyelerinin özgeçmişleri incelenmiş, şirketle ve şirketin bağlı bulunduğu grupla ilişkileri, sektör deneyimleri, kadın bağımsız yönetim kurulu üyelerin ve denetim komitesinde yer alan bağımsız üyelerin sayıları içerik analizi yöntemi ile araştırılmıştır. Bağımsız yönetim kurulu üyelerinin %65'inin, bağımsız yönetim kurulu üyesi olarak görev yaptıkları şirketlerle ilişkili oldukları belirlenmiştir.
