MAKING THE TENDER PRICE EMPLOYED IN CIVIL EXECUTION AND BANKRUPTCY LAW

Abstract
In the event of an irregularity in sales made through compulsory sale by auction, an annulment of tender may be applied through a complaint to the bankruptcy court. However, the result of this may end in the annulment of compulsory sale by auction, and the tender will not be finalized. Therefore, the legal results attached to the finalization of the tender will not be completed. Because of the appeals of the complaint regarding the annulment of the tender which takes a long period, the money put as the tender price will be subject to a significant loss due to inflation. In this case, to prevent the losses of both the buyer and the creditor, paragraph 5 was added to article 134 of the Law on Civil Execution and Bankruptcy (IIK) with the code numbered 4949 in 2003. According to this amendment, the money put as the tender price will be employed in banks by the civil execution offices until the complaint regarding the annulment of the tender is finalized. In contrast, the reference code -the Swiss Law on Enforcement and Bankruptcy- does not contain any provisions on this matter. As a matter of fact, in this study, the issue of “making the tender price employed” regulated under IIK m. 134, V was discussed in detail and the terms and conditions of this regulation have been tried to be considered.
Özet
Cebrî artırma yoluyla yapılan satışlarda bir usulsüzlük bulunması hâlinde, şikâyet yoluyla icra mahkemesi nezdinde ihalenin feshine başvurulabilir. Ne var ki, yapılan cebrî satışların iptalini sağlayan bu yola sadece başvurulmuş olmasıyla ihale kesinleşmemekte ve bu sebeple ihalenin kesinleşmesine bağlanan hukukî sonuçlar da doğmamaktadır. Kanun yoluna başvurulması hâlinde ihalenin feshi taleplerinin, oldukça uzun bir süreçten sonra kesinleşmesi, elbette ihale bedeli olarak yatırılan paranın enflasyon karşısında ciddi bir değer kaybı yaşamasına sebep olmaktadır. Böyle bir durumda gerek alıcının gerek alacaklının hak kayıplarını engellemek amacıyla, 2003 tarihinde 4949 sayılı Kanun’la İcra ve İflâs Kanunu’muzun 134’üncü maddesine 5’inci fıkra eklenmiş ve ihale bedeli olarak yatırılan paranın icra dairesi tarafından ihalenin feshine yönelik şikâyet sonucunda verilecek karar kesinleşinceye kadar bankalarda nemalandırılacağı açıkça hüküm altına alınmıştır. Buna karşılık, mehaz İsviçre İcra ve İflâs Kanunu’nda ise bu konuya ilişkin herhangi bir düzenleme bulunmamaktadır. Nitekim bu çalışmada, İİK m. 134, V hükmünde yer alan “ihale bedelinin nemalandırılması” konusu ayrıntılı bir şekilde ele alınarak, söz konusu düzenlemenin hüküm ve sonuçları üzerinde durmaya çalışılmıştır.
