THE SPECIFIC OBLIGATIONS OF PUBLICLY HELD COMPANY DIRECTORS

Abstract

The obligations and responsibilities of the joint stock company directors are regulated by the Turkish Commercial Code. Publicly held company directors are also subject to these provisions. On the other hand, publicly held company directors have given responsibilities specific to this companies in capital markets regulations. The obligations imposed for the purpose of investor protection is specific to the capital markets. In this study, the main obligations specific to the publicly held company directors will be examined and established links with the general provisions.

Anonim ortaklık yöneticilerinin yükümlülükleri ve sorumluluğu Türk Ticaret Kanunu'nda düzenlenmiştir. Halka açık anonim ortaklık yöneticileri de, söz konusu hükümlere tabidir. Diğer yandan sermaye piyasası mevzuatında, halka açık anonim ortaklık yöneticilerine, bu ortaklıklara özgü yükümlülükler getirilmiştir. Yatırımcıyı koruma amacıyla getirilen bu yükümlülükler, sermaye piyasasına özgüdür. Bu çalışmada, halka açık anonim ortaklık yöneticilerine özgü başlıca yükümlülükler incelenecek ve genel hükümlerle bağlantısı kurulacaktır.
