Abstract

The specific importance of capital in joint stock companies has led to the need for regulation of the issue of capital elements that can be imposed on the joint-stock companies particularly in the Article 342 and 343 of the Turkish Commercial Code (TCC) as well as the general arrangement in the Article 128 of TCC. It is desired to provide the elements of capital in kind accepted to be imposed in particular on joint-stock companies to take place in the articles of incorporation with the actual value in order to avoid the company and other stakeholders to sustain a loss. The legislator therefore adjudicates that the value of elements of capital in kind needs to be determined on the objective basis by the court-appointed expert. In this context, requests for the determination of the value of the overdue claims to be desired to bring to the company as capital have been resolved by the courts in different ways; this problem effect of which has been gradually increasing, has been temporarily resolved by a circular issued by Ministry of Customs and Trade (GTB). Although it is contrary to the TCC, according to the circular issued by the GTB, in case that the partners of the company want to invest their claims from the company into another company as capital, the report of an expert appointed by the court is required. Similarly, if the partner wants to invest the claims from the company into the same company, value determinations will be carried out by a financial consultant. To mention all the matters, the scope of the capital in kind, particularly the conflicts in evaluating the value of the claims and their solutions in joint-stock companies, the evaluations have been made on the Circular issued by GTB in the context of this Communiqué.

Anonim şirketlerde sermayenin taşıdığı özel önem, TTK'nın 128 vd. maddelerinde yer alan genel düzenlemelerin yanı sıra, anonim şirketlere getirilebilecek sermaye unsurları konusunun TTK'nın 342 ve 343'üncü maddelerinde de özel olarak düzenlenmesi ihtiyacını doğurmuştur. Özellikle anonim şirketlere getirilebileceği kabul edilen ayni sermaye unsurlarının, şirketin ve diğer menfaat sahiplerinin zarara uğramaması için gerçek değerleriyle esas sözleşmede yer alması sağlanmak istenmiştir. Kanun koyucu bu nedenle ayni sermaye unsurlarının değerinin, mahkeme eliyle atanan bilirkişiler tarafından objektif şekilde tespit edilmesi gerektiğini hükme bağlamıştır. Bu kapsamda sermaye olarak şirkete getirilmek istenen vadesi gelmiş alacak hakkının değerinin belirlenmesi talepleri, mahkemelerce farklı şekillerde çözüme kavuşturulmuş; giderek etkisini daha da artıran bu sorun Gümrük ve Ticaret Bakanlığının (GTB) çıkardığı bir genelge ile geçici bir şekilde çözümlenmiştir. Her ne kadar TTK ile çelişiyor olsa da GTB tarafından çıkarılan genelgede şirket ortağının şirketten olan alacağını başka bir şirkete sermaye olarak koymak istemesi halinde, mahkeme tarafından atanacak bilirkişi raporunun gerekli olduğu; ortağın şirketten olan alacağını yine şirkete sermaye olarak getirmek istemesi halinde ise, değer tespitinin mali müşavirlere bırakılacağı belirlemesi yapılmıştır. Tüm bu hususlara temas etmek üzere tebliğ kapsamında, anonim şirketlerde ayni sermayenin kapsamı ve özellikle alacak hakkının değerinin biçilmesinde yaşanan uyuşmazlıklar ve bunların çözümü için GTB'nin çıkardığı Tebliğe ilişkin değerlendirmeler yapılmıştır.
