Özet

Ekonomik faaliyetlerin her geçen gün artması ve çeşitlenmesi, büyüyen işletmelerin yönetimsel zorlukları, faaliyetlerde verimlilik ve etkinliği artırmak, ortaklar arası uyuşmazlıklar, miras bölüşümü ve vergi planlaması gibi nedenlerle faaliyetlerini mevcut ya da yeniden kurulacak bir veya birden fazla şirkete bölünerek gerçekleştirmektedirler. Bu amaçlar doğrultusunda şirketlerin vergisel istisnalar olmaksızın bölünmesi halinde yüksek vergi tutarları ve harçlarla karşılaşmasına neden olmakta ve bu durum şirketlerin bölünmesi noktasında engel oluşturmaktadır. Bir yeniden yapılandırma modeli olarak değerlendirilen bölünme konusu gerek 6102 sayılı Türk Ticaret Kanunu (TTK) gerekse 5520 sayılı Kurumlar Vergisi Kanunu’nda (KVK) düzenlenmiştir. Bu çalışmada öncelikle TTK ve KVK’de yer alan Tam Bölünme ve Kısmi Bölünmeye ilişkin hükümler açıklanmıştır. Çalışmanın uygulama kısmında bir üretim veya hizmet işletmesinin kısmi bölünme kapsamında bölünmeye konu edilmesi durumunda bölen işletme ile birlikte devredilecek aktif ve pasif unsurların belirlenmesi ve hesaplanması KVK hükümlerine göre hipotetik işletme üzerinden yapılmıştır. Sonraki süreçte Tespiti gerçekleştirilen aktif ve pasif unsurların yine KVK kapsamında iştirak ilişkisi yöntemi ve bölünen şirket ortaklarına pay verilmesi yöntemleri ile muhasebeleştirilmesi ve özellikli işlemlerin neler olduğu açıklanmıştır.

Abstract

Due to the increasing and diversification of economic activities, managerial difficulties of growing businesses, increasing efficiency and effectiveness in activities, disputes between partners, inheritance distribution and tax planning, activities are carried out in existing or to be re-established companies. For these purposes, if companies aresplit without tax exceptions, it is likely to encounter high tax amounts and fees, which creates an obstacle to the division of companies. The subject of division, which isconsidered as a restructuring model, is regulated both in the Turkish Commercial Code No. 6102 (TCC) and in the Corporate Tax Law No. 5520 (CTL). In this study, first of all, the provisions regarding Full Division and Partial Division in TCC and CTL are explained. In the application part of the study, if a production or service business is subjected to partial division, the determination and calculation of the active and passive elements to be transferred together with the dividing enterprise was made over the hypothetical enterprise according to the provisions of the CTL. In the next section, it is explained that the assets and liabilities identified are accounted by the participation relationship method within the scope of CTL and the share allocation method to the shareholders of the divided company and the specific transactions are explained.
