An Overview of The Mandate Contract and a Comparative Study on The Mandate and Employment Contracts

Vekâlet Sözleşmesine Genel Bir Bakış ve İş Sözleşmesi ile Karşılaştırmalı Bir İnceleme

Abstract

The mandate contracts are among the service contracts regulated in the Turkish Code of Obligations No. 6098. It is prescribed that the provisions of such contracts shall also apply to the service contracts that are not regulated in the Code No. 6098. Such wide inclusivity of the mandate contracts makes it difficult to differentiate them from other service contracts. However, defining the legal relationship between the parties correctly is very important particularly in terms of the consequences that are linked to the termination of the contract. In our study, we have noted the general attributes of the mandate contracts and aimed to set forth the similarities and differences between the mandate and employment contracts in the guidance of the elements of employment contracts by also benefiting from the judicial decisions.

Özet

Vekâlet sözleşmesi, 6098 sayılı Türk Borçlar Kanunu’nda yer verilen işgörme sözleşmelerindendir. Bu sözleşme hükümlerinin, aynı zamanda, Kanun’da düzenlenmeyen işgörme sözleşmelerine de uygulanacağı öngörülmüştür. Vekâlet sözleşmesinin bu denli kapsayıcı bir şekilde düzenlenmiş olması, onun diğer işgörme sözleşmelerinden ayırt edilebilmesini güçleştirmektedir. Oysa taraflar arasındaki hukuki ilişkinin doğru bir biçimde nitelendirilmesi, özellikle de sözleşmenin sona ermesine bağlanan sonuçlar bakımından büyük önem taşımaktadır. Çalışmamızda vekâlet sözleşmesinin genel özelliklerine değinilmiş ve iş sözleşmesinin unsurlarının yol göstericiliğinde yargı kararlarından da yararlanılarak her iki sözleşme arasındaki benzerlik ve farklılıkların ortaya konulmasına gayret edilmiştir
