Abstract
The pre- emptive right which serves to protect of the legal status of the shareholders in the Joint Stock Company, was changed majorly and reenforced by the Turkish Commercial Code numbered 6102. We will touch on in this study basically about the legal qualification of the pre-emptive right, its protection function and conditions for the remove of the right; thus, giving point of view about the changes is aimed.
Özet
Anonim ortaklıkta pay sahiplerinin hukuksal konumlarının korunmasına hizmet eden yeni pay alma hakkı, 6102 sayılı TTK ile geniş ölçüde değişime uğramış ve güçlendirilmiştir. Bu çalışmada esas olarak, rüçhan hakkının hukuki niteliği, koruma işlevi ve hakkın kaldırılmasının koşullarına değinilmiş, böylelikle, yapılan değişikliklere ilişkin genel bir fikir edinilmesi amaçlanmıştır.
