The Registered Pledges on Movables Without Delivery Condition on Commercial Transaction

Abstract

In Turkish Law, types and the principles of pledges are regulated in Turkish Civil Code (TCC). Pledge grants creditors restricted real rights on movables or unmovables rights and receivables. Although general rules of pledges on unmovables are regulated detailed , law maker refrained from regulating general rules of pledges on movables. Accordingly, the pledge on movables can be classified to three types. First of those is the pledge on movables with delivery condition which includes the general principles. Second type is the unregistered pledge on movables without delivery condition. Third type is the registered pledge on movables without delivery condition. This type is the most important exception to pledges on movables with delivery condition. Therefore, The Pledges on Movables on Commercial Transaction Act numbered 6750 (PMCTA) can only be used for commercial transactionsLaw maker embraces ranking system for movables (TCC art. 948 sub art. II), and precedence system for unmovables which is determined by the date on which pledges were established (TCC art. 870). However, according to PMCTA, ranking and precedence (rank) system could both be used on unregistered pledges on movables without delivery condition to put pledges. Besides, a pledge can be put as second or further degrees as long as amount of further degrees would be expressed when putting pledge (PMCTA art. 10, sub art. I). This regulation constitutes legal infrastructure to collateral by non-delivery registration method for the commercial enterprises, small business owners or farmers' movables which do not have a registration obligation, rights and assets. So, it would be more reasonable priced and convenient to financial accessibility for commercial enterprises, small business owners or farmers. With PMCTA, field of application on unregistered pledge on movables without delivery condition are expanded.

Türk hukukunda rehin tipleri ve rehin hukukuna hakim olan ilkeler Türk Medeni Kanunu'nda (TMK) düzenlenmiştir. Rehin; alacaklıya taşınmaz, taşınır, hak ve alacaklar üzerinde sınırlı ayni hak bahşeder. Kanun koyucu taşınmaz rehnine ilişkin genel ilkeleri TMK (m. 850-888) düzenlemiş iken, taşınır rehnine ilişkin genel ilkeleri düzenlemekten kaçınmıştır. Taşınır rehni tipi üçlü bir tasnife tabi tutulabilir. Bunlardan ilki, genel hüküm mahiyetindeki ilkeleri de barındıran teslim şartlı taşınır rehnidir. İkinci tip, teslimsiz tescilsiz taşınır rehnidir. Nihayet üçüncü tip ise, teslimsiz tescilli taşınır rehnidir. Bu tipin teslim şartlı taşınır rehinine getirilen en önemli istisna olduğu söylenebilir. Ancak, 6750 sayılı Kanun sadece ticari işlemlerde uygulanabilir (TİTRK). Kanun koyucu taşınmazlarda sabit derece sistemini (TMK m. 870), taşınırlarda ise kurulma tarihi itibari öncelik başka bir ifade ile sıra sistemini benimsemiştir. (TMK m. 948, f. II). Öte yandan, TİTRK hükümlerine göre teslimsiz tescilli taşınır rehninde hem sabit derece sistemi hem de sıra sistemiyle rehin kurulabilir. Ayrıca rehin, kendisinden önce gelecek olanın miktarının tescilde belirtilmesi kaydıyla, ikinci ve daha sonraki derecede de kurulabilecektir (TİTRK m. 10, f. I). Bu düzenleme ile ticari veya esnaf işletmesine yahut çiftçilere faaliyetlerinde kullandıkları, kanuni sicile tescil mecburiyeti bulunmayan taşınır, hak ve alacakların teslimsiz tescil yöntemiyle teminat verilmesinin hukuki alt yapısı oluşturulmuştur. Böylece tacir, esnaf ve çiftçilerin finansmana erişimi daha ucuz ve kolay hale getirilmek istenmiştir. TİTRK ile taşınırlarda teslimsiz tescilli rehin uygulaması da ciddi bir şekilde genişletilmiştir.
