Çalışmada anonim şirketlerde yönetim kurulu üyelerinin hukuki sorumluluk hâlleri, 6102 sayılı Türk Ticaret Kanunu’na göre incelenecektir. Çalışmada hukuki sorumluluğun düzenlenme planı Türk Ticaret Kanunu ve İsviçre Borçlar Kanunu karşılaştırması yapılarak tartışılacaktır. Çalışmada 6102 sayılı Türk Ticaret Kanunu’nda yer alan sorumluluk hâlleri açıklanacaktır.
