Özet
Bu çalışmada şahsi teminat çeşitlerinden garanti ve kefalet sözleşmelerinin geçerlilik şartları üzerinde durulacaktır. Kefalet sözleşmesi Borçlar Kanunu’muzda geniş bir düzenleme alanı bulmaktadır. Ancak garanti sözleşmesi BK m. 110’a dayandırılan ve bütün sözleşmeler için öngörülen geçerlilik şartlarının dışında özel geçerlilik şartlarına tabi olmayan bir sözleşmedir. Bu çalışmada BK çerçevesinde kefalet sözleşmesinin geçerlilik şartlarına değinilecek, bununla birlikte doktrin ve Yargıtay kararları çerçe- vesinde şekillenen garanti sözleşmesine ait geçerlilik şartları üzerinde durulacaktır.
Abstract
In this study, the suretyship and the guarantee contracts, which constitute two types of personal guarantees, shall be analyzed. The suretyship contract is extensively regulated by the Code of Obligations. However, the guarantee contract is based only on Article 110 of the Code of Obligations and it does not offer particular validity terms, other than general provisions. In this study, the suretyship contract as defined in the Code of Obligations shall be examined, and the validity terms of the guarantee cont- ract shall be analised in view of the jurisprudence and the case law of the Supreme Court.
