Özet

Mülga 2499 sayılı Sermaye Piyasası Kanunu 1990’lı yılların ba-şında ve sonunda önemli değişikliklere uğramış ve nihayet 30.12.2012 tarihinde yürürlüğe giren 6362 sayılı yeni Sermaye Piyasası Kanunu ile ilga edilmiştir. Ülkemizde izinsiz halka arzlar 1990’lı yıllarda Holding-ler sorunu tavsifiyle yaygın olarak karşımıza çıkmış, daha sonra 2000’li yılların ortalarından itibaren ani şekilde azalma kaydetmiştir. Konuya ilişkin TBMM Raporuna göre, 1990’lı yıllardan 2005’e kadar, 78 Hol-ding ve buna bağlı yüzlerce şirketi ilgilendiren, yurt içinden ve dışından yüz binlerce vatandaşımızın para yatırdığı, kesin rakamı tespit edileme-mekle birlikte yaklaşık 5 Milyar Euro civarında paranın tasarruf sahiple-rinden toplandığı görülmektedir. Yeni Sermaye Piyasası Kanunu’yla birlikte izinsiz halka arz suçu usulsüz halka arz olarak düzenlenmiş, ko-nuyla ilgili olarak yeni tedbirler getirilmiş ve toplanan paraların iadesi usulleri de detaylı olarak düzenlenmiştir. Ayrıca anılan şirketlere Borsa-da işlem görme zorunluluğu getirilmiştir. Son olarak TBMM’de kabul edilen 7194 sayılı Kanun ile, anılan şirketlere para yatıranlarla ilgili ola-rak kanunla ortaklık vasfı tanınarak derdest davaların sona erdirilmesine ilişkin düzenleme yapılmıştır.

Abstract

The abolished Capital Market Law numbered 2499 has been modi-fied significantly at the beginning and end of 1990’s and repealed by the new Capital Market Law which entered into force on December 30th, 2012. Unauthorized public offerings in our country were widely ob-served in the 1990s with the description of Holdings problem, and then suddenly decreased from the middle of the 2000s. According to the Par-liament’s Research Report, it is seen that hundreds of thousands of citi-zens living in Turkey or abroad which concern 78 Holdings and its affil-iated companies, from the 1990s to 2005 had been collected from savers estimated about 5 billion Euros. With the new Capital Market Law, the crime of unauthorized public offering was regulated as improper public offer, the measures that can be taken against improper public offering crime have been expanded and the procedures for the return of the money collected were regulated in detail. Those companies are obliged to apply to the Exchange in order to have their shares traded on the exchange. Finally, with the Law numbered 7194 passed in the Grand National Assembly of Turkey, a regulation was made regarding the termination of pending lawsuits by recognizing partnership relations are deemed to have been established in return payments made to mentioned companies.
