Özet
Yönetim kurulu tarafından hazırlanan yıllık faaliyet raporu gerek pay sahiplerini gerekse kamuyu aydınlatan bir belge olup 6102 sayılı Türk Ticaret Kanunu’nun birçok maddesinde bu rapordan bahsedildiği görülmektedir. Söz konusu raporun şekli ve asgari içeriği ayrıca bir yö- netmelikle ayrıntılı olarak düzenlenmiştir. Bununla birlikte uygulamada yıllık faaliyet raporu ile ilgili çeşitli sorunlar ortaya çıkmaktadır. Bu so- runların bir kısmı yıllık faaliyet raporunun şekline, diğer bir kısmı ise içeriğine ilişkindir. Bu çalışmada önce bahse konu sorunlar ortaya ko- nulmuş, akabinde çözüm önerilerinde bulunulmuştur.
Abstract
The annual activity report is a document which serves to inform the shareholders as well as the public. The Turkish Commercial Code No. 6102 contains numerous provisions referring to the said report. The form and the minimum content of the annual activity report have been regulated by law and secondary legislation. In practice, however, vari- ous problems arise in relation to the annual activity report. While some of these problems relate to the form of this report, others relate to its content. This paper aims to describe and suggest solutions to these problems.
