Özet
Sermaye kaybı yaşayan veya borca batık bir şirketin söz konusu olumsuz durumda nasıl bir strateji izleyeceğini tespit ederken, kural olarak, şirkete ilişkin üç iktisadi değer (tasfiye değeri, işletme değeri ve satış değeri) üzerinden bir çözümleme yapması ve bu değerlerden hangisi daha fazla ise o değer temelinde düzenlenmiş ilgili hukuki müesseselere başvurarak kendisi için en avantajlı neticeyi elde etmesi beklenir. Mesela, tasfiye değeri daha fazla ise şirketin iflasını talep ederek elde edilen tutar ile borçlarını olabildiğince ödemesi; işletme değeri daha fazla ise şirketin konkordato prosedürüne başvurarak ticari faaliyetlerine devam etmesi ancak alacaklılara iflasa nazaran daha iyi bir ödeme önermesi düşünülebilir. Bunların yanında, mali güçlük içindeki şirketin çeşitli (iktisadi) gerekçelerle başka bir şirket ile birleşmesi ve bu işlem için öngörülen satış değerinin burada anılan diğer iktisadi değerlerden daha fazla olması mümkündür. Öğretide kurtarıcı birleşme olarak da isimlendirilen bu hukuki müessese, genel olarak ticaret / şirketler hukuku kapsamında değerlendirilse de külli icra hukuku müesseseleri ile sıkı bir ilişki içerisindedir. Bu çalışmada kurtarıcı birleşme konusu genel olarak ele alındıktan sonra, bilançoyla tespit edilen mali güçlük aşamalarında kurtarıcı birleşme ve (tasfiye ve işletme değeri esaslarına dayanan) diğer külli icra hukuku prosedürleri arasındaki ilişki anonim şirketler temelinde incelenecektir.
Abstract
When a company suffering from capital loss or being deep in debt, determines what kind of strategy it will pursue against such an adverse condition, as a rule, it is expected the company to make an analysis based on three economic values regarding the company (liquidation value, going-concern value and selling price) and to obtain the most advantageous result for itself through applying to the relevant legal procedure designed according to the greatest value among others. For example, if the liquidation value is the greatest the company may file a petition for its bankruptcy and pay its debts as much as possible, or if the goingconcern value is the greatest the company may prefer concordat procedure and offer a better payment in comparison to the payment obtained at the end of the bankruptcy liquidation to its creditors while continuing its commercial activities. Besides all these, it is still within the bounds of the possibility that the company in financial distress may merge with another company due to various (economic) reasons and the selling price for this transaction may be greater than the aforementioned values. Even though this legal concept which is also named as rescue merger in legal doctrine is evaluated within the scope of corporate and commercial law, it is in a strong relationship with the procedures of insolvency law. In this study, after the concept of rescue merger is generally explained, the relationship between rescue merger and the procedures of insolvency law in the phases of financial distress determined by balance sheet will be assessed by taking joint-stock companies as the focal point.
