OBLIGATIONS OF PUBLICLY HELD CORPORATIONS ARISING FROM THE CAPITAL MARKET LAW IN THE COURSE OF BANKRUPTCY

Özet

İflâs müflisin malvarlığının bütün alacaklıları yararına iflâs organlarınca tasfiye edilmesidir. İflâs tasfiyesi sürecinde müflisin gerek İcra ve İflâs Kanunu gerek Türk Ceza Kanunu hükümlerine uygun biçimde hareket etmesi gereklilik arz eder. Buna ilâveten, müflis halka açık anonim ortaklığın tasfiye sürecinde halka açık anonim ortaklık statüsünün devam etmesi nedeniyle, Türk Ticaret Kanunu’nun yanı sıra Sermaye Piyasası Kanunundan doğan yükümlülükleri de bulunmaktadır. Çalışmamızda, müflisin halka açık anonim ortaklık statüsü göz önünde tutulduğunda, ortaklığın iflâsına karar verilmesi ve tasfiye sürecinde finansal tablolarının hazırlanması, bağımsız denetime tâbi tutulması ile ilan yükümlülüklerinin devam edip etmediği, kamuyu aydınlatma yükümlülüğünün kapsamı ve ortaklık pay sahiplerinin bilgi alma hakkı ele alınmıştır.

Abstract

Bankruptcy is the liquidation of the bankrupt’s assets by the bankruptcy bodies for the benefit of all the creditors. In the course of liquidation of bankruptcy, the bankrupt is required to act in accordance with the provisions of both Enforcement and Bankruptcy Law and Turkish Criminal Law. The bankrupt is to additionally bear liabilities of Capital Markets Law as well as those of Turkish Commercial Law as its status as a publicly held corporation remains the same during liquidation of the publicly held corporation. This study, when the status of the bankrupt as a publicly held corporation is taken into account, aims to cover the decision making process regarding bankruptcy of corporation and preperation of the financial statements in the process of liqudiation; the bankrupt’s being subject to independent external audit and whether its obligation to give notice lasts; the scope of the disclosure requirement and the right of shareholders of a corporation to demand required information.
