INTERRUPTIONS DURING ONLINE GENERAL MEETINGS AND SHAREHOLDERS' RIGHT OF ANNULMENT ACCORDING TO THE GERMAN COMMERCIAL CODE

Özet

Genel kurul, hissedarların pay sahipliğinden doğan haklarını kullandıkları, şirketin en önemli karar organıdır. Hissedarların genel kurula katılımları ve gerçek irade beyanlarının kurula yansıtılması, şirketin geleceği ve sağlıklı işleyişi için büyük önem arz etmektedir. Alman Kanun Koyucu bu gereksinim karşısında, Avrupa Birliği Hissedarlar Direktifi'ni de göz önünde bulundurarak düzenlemeler yapmış ve genel kurula sanal ortamda katılımın önünü açmıştır. Genel kurula online katılım son derece rahat bir yöntem olsa da, teknolojik aksaklıklar ve muhtemel kesintiler, hissedarların en temel haklarından mahrum kalmalarına ve fesih hakkının doğumuna sebebiyet verebilmektedir. Çalışma boyunca bu çerçevede incelemeler yapılmış, genel kurul toplantılarındaki muhtemel kesintiler ve hissedarların fesih hakkı Alman mevzuatı çerçevesinde incelenmiştir.

Abstract

General Meeting is one of the most important authorized body in company, which is shareholders can exercise their rights. Attendance of shareholders at the general meeting and declaration of their intention during the general meeting is very important for the companies' future and management. Because of that German Legislator take the European Union's Shareholder Voting Rights Directive into consideration and prepared and legislated the German Commercial Code and in this way enabled the Electronic and Cross-Border Voting. Even if the attendance at the Online General Meetings are very easy, technological problems and probable errors on the Online General Meeting System can disenfranchisement the Right of Shareholders and in this respect shareholders can exercise the Right of Annulment. Throughout the article analyses, which focus on the interruptions during Online General Meetings and Shareholders' Right of Annulment according to the German Commercial Code, were made.
