Özet

Kompleks yapıda olan anonim şirketin, belirlediği hedeflere ulaşabilmesi için yönetim kurulu tarafından şirket sistematiğinin işleyebileceği organizasyonun ihdas edilmesi ve daimi olarak bu organizasyonun işlerliğinin takibinin yapılması gerekmektedir. Esas sözleşme ile yönetimin devrine cevaz verilmesi durumunda yönetim kurulu ve genel kurulun uhdesinde bulunan devredilemez görev ve yetkiler haricindeki şirket iş ve işlemlerine dair yönetim yetkisi birtakım kişi veya kişilere devredilebilecektir. Yönetim kurulu tarafından devrin usulüne uygun yapılması ve devrin yapıldığı kişilerin seçimi konusunda gerekli özenin gösterilmesi durumunda devredilen yetkiler bakımından yönetim kurulunun sorumluluğu ortadan kalkacaktır. Devredilen yetkiler bakımından yönetim kurulunun üst gözetim yükümü daimi olarak devam edecektir. Bu çalışmada yönetimin devri ve yönetimin devrine ilişkin hukuki sorumluluk halleri incelenecektir

Abstract

In order for the joint stock company, which has a complex structure, to continue its commercial activities and achieve the goals it has determined, an organization must be established by the board of directors in which the company's systematics can work, and the operability of this organization should be constantly monitored. In the event that the transfer of management is permitted by the articles of association, the management authority regarding the business and transactions of the company may be transferred to some person or persons, except for the nontransferable duties and powers under the responsibility of the board of directors and the general assembly. In the event that the transfer is duly made by the board of directors and the necessary care is exercised in the selection of the persons to whom the transfer is made, the responsibility of the board of directors in terms of the delegated powers will be eliminated. In terms of delegated powers, the senior oversight responsibility of the board of directors will continue on a permanent basis. In this study, the transfer of management and the cases of legal liability related to the transfer of management will be examined.
