Özet
Ticaret şirketleri, kuruldukları ülkenin ekonomik yaşamlarındaki önemli katkı ve etkileri sebebiyle devlet tarafından daima izlenmekte ve denetlenmektedir. Söz konusu izleme ve denetimin şirketler hukukundaki görünümü, “devletin ilgilenmesi ilkesi” dir. Devletin ilgilenmesi ilkesi uyarınca kanun koyucu, konu hakkında öngördüğü hükümlerle devletlere, şirketleri denetleme yetkisi tanımış ve bu denetime aykırılıklardan kaynaklı çeşitli yaptırımlar öngörmüştür. Bu yaptırımlardan en ağırı ise çalışma konumuz olan şirketin varlığına son verilmesidir. Çalışmada Ticaret Bakanlığı’na şirketlere karşı fesih davası açması imkanı tanıyan 6102 sayılı Türk Ticaret Kanunu’nun 210. maddesinin üçüncü fıkrası, genel hatlarıyla incelendikten sonra aynı maddede geçen ve fesih konusu yapılabilecek en önemli neden olan “kamu düzenine aykırı işlem veya bu yöndeki hareketler” üzerinde durulacak ve söz konusu fesih nedeni ile TTK m.210/III’te öngörülen diğer fesih nedenleri karşılaştırılacaktır. Son olarak, fesih davasının hukuki niteliği, davanın tarafları, fesih davasının yargılaması ve dava açma süresi incelenecektir.
Abstract
Commercial corporations have been under constant monitoring and inspection by the State because of their significant contribution and impact on the economic life of the country where they were established. In commercial law, monitoring and inspection that are mentioned above are defined as “government control of business”. According to this principle, the legislator gave supervisory power to the State via regulations about the subject, and also regulated the consequences. The severest consequence, which is also the subject of this paper, is the dissolution of the company. In this paper, Turkish Commercial Code’s Article 210’s sub-article 3, which authorizes the Ministry of Commerce to sue for dissolution of a company has been reviewed in general and the most important cause of dissolution, which was regulated in the same article, “Operating against public order and actions towards this direction” has been highlighted. Furthermore, the cause of dissolution 3 has been compared with the other causes regulated in article 210’s sub-article. Finally, the legal character of a dissolution case, parties, proceedings, and the term of the case have been reviewed.
