Özet

TBK m. 444 vd düzenlenen hizmet ilişkisi sonrası için öngörülen rekabet yasağına ilişkin uyuşmazlıklar eski TTK döneminden bu yana mutlak ticari dava kapsamında düzenlenmiş olup mülga 5521 sayılı İş Mahkemeleri Kanunu döneminde verilen Yargıtay kararlarında ticaret mahkemelerinin görevli olduğu kabul edilmekte idi. 7360 sayılı İş Mahkemeleri Kanunu’nun 25.10.2017 itibariyle yürürlüğe girmesinden sonra Yargıtay 9. HD içtihadını değiştirmiş ve TBK m. 444’ten doğan uyuş- mazlıkların çözümünde iş mahkemelerinin görevli olduğuna karar vermiştir. Ancak, hizmet ilişkisi sonrasında rekabet yasağı ile korunan menfaatin, yatırım yapmak, risk almak suretiyle kurulan ticari işletmelerin zaman içinde emek ve masraf ile elde ettiği bilgi ve birikim olduğu, ticaret hayatına özgü, kişinin ekonomik özgürlüğü ve ticaret hayatına katılmasına yönelik olan bu hususların ticari dava kapsamında incelenmesi gerektiği, ticari sır, iş sırrı, üretim sırrı, müşteri çevresi gibi gizli ve ekonomik değer ifade eden bilgilerin ve tacir sıfatına bağlanan hak ve yükümlülüklerin işçi-işveren sıfatları ve iş ilişkisinden çok farklı değerlendirildiği, tarafların hizmet akdi sona ermesini takiben işçi-işveren sıfatını taşımadıkları ve iş ilişkisi kapsamında nitelendirilemeyeceği dikkate alındığında yasa koyucunun açık iradesi karşısında özel hüküm niteliğindeki TTK m. 4/1-c hükmü de dikkate alınarak, görevli mahkemenin ticaret mahkemesi olarak kabul edilmesi gerekmektedir

Abstract

Disputes regarding the prohibition of competition about postemployment relationships which has been regulated on article 444 (and cont.) of Turkish Code of Obligation (“TBK”) had been evaluated within the scope of commercial litigation since the obsolete Turkish Commercial Law No. 6762 and it was accepted by the Supreme Court that the commercial courts were in jurisdiction in the period of the abrogated Labor Courts Law No. 5521.After the Labor Courts Law No. 7360 were came into effect as of the date 25.10.2017, the previous judicial opinion was changed by the 9th Civil Chamber of the Supreme Court and labor courts were determined in jurisdiction about resolving disputes arising from 444 (and cont.) Despite this judicial opinion of the 9th Civil Chamber of the Supreme Court, when the main interest -which is knowledge and experience gained by the commercial enterprises established by investing and taking risks over time, with effort and expense- of the prohibition of competition about post-employment relationships is evaluated and the fact that, the issues -which are specific to the commercial life, related to the economic freedom of the person and participation in the commercial life- should be within the scope of the commercial lawsuit is considered and information which are confidential and has economic value (such as trade secrets, business secrets, production secrets, customer connections) and the rights and obligations attached to the title of murchant - which are very different from the titles of employee-employer and employment relationship- are evaluated and the because of the reason parties do not have the title of employee-employer following the termination of the employment contract,we are of the opinion that the commercial courts should be in jurisdiction.
