Özet
Mülga 6762 sayılı Türk Ticaret Kanunu’nda anonim şirketler içinöngörülen denetim (murakıplık) sisteminin işlevini tam olarak yerinegetirmemesi nedeniyle, 6102 sayılı Türk Ticaret Kanunu’nda denetçişirket organı olmaktan çıkarılmış, şirketin dışarıdan denetçiler eliyle de-netlenmesi öngörülmüştür. Ancak, TTK ile getirilen yeni denetim siste-mi, ilki yasa yürürlüğe girmeden, diğeri ise yürürlüğe girdikten sonra ol-mak üzere iki defa değiştirilmiştir. Yapılan bu değişiklikler sonrasında,anonim şirketler için ikili bir denetim sistemi ortaya çıkmıştır. 2018 yılıbaşı itibariyle ülkemizde 120 binin üzerinde anonim şirket bulunmakta-dır ve bağımsız denetime tabi olan şirket sayısı altı binin biraz üzerinde-dir. Bağımsız denetime tabi şirketlerin büyük bir kısmının anonim şirket-lerden oluştuğunu dikkate alırsak, 115 bin civarında anonim şirketin, ba-ğımsız denetim dışındaki denetime tabi olduğunu söyleyebiliriz. Bu çalışma-da, bağımsız denetime tabi olanlar dışında kalan anonim şirketlere getiri-len denetim sistemi ile anılan sistemin halihazırda uygulanabilir olma-masından kaynaklanan sorunlar üzerinde durulmaktadır.
Abstract
Since the audit system foreseen for joint stock companies by the former Turkish Commercial Code Nu.6762 hasn’t fulfilled its function, the auditor is excluded from being a corporate body by the new Turkish Commercial Code Nu. 6102 and it is foreseen that the company will be audited by external auditors. However, the new auditing system introdu- ced by new TCC was amended twice, one before the effective date and the other after the enforcement date. After these amendments, a dual audit system is patterned for joint-stock companies. By the beginning of 2018, there are more than 120 thousand joint stock companies in our country and the number of companies subject to independent audit is slightly over six thousand. If we consider that a large amount of the companies subject to independent audit are made up of joint-stock com- panies, we can say that about 115 thousand joint-stock companies are subject to second audit system. This study focuses on the audit system brought to those joint stock companies which are not subject to indepen- dent audit system and problems arising from the fact that this system is not currently applicable.
