Özet
Mülga 6762 sayılı Türk Ticaret Kanunu’nun 546’ncı maddesinde esas sermayenin yarısının kaybedilmiş veya şirketin borçlarının mevcu-dundan fazla tutmuş olması yahut şirketin aciz halinde bulunduğu şüp-hesini uyandıran emarelerin olması halinde anonim şirket hakkındaki 324’üncü maddenin tatbik olunacağı hükmüne yer verilerek, limited şir-ketin esas sermayesinin karşılıksız kalması ve borca batık olması halinde alınması gereken tedbirler düzenlenmiş ve şirket müdürlerine bu konuda önemli bazı görevler yüklenmiştir. Aynı yaklaşım 6102 sayılı Türk Tica-ret Kanunu da korunmuş ve limited şirketin sermayesinin kaybedilmesi halinde seçimlik iki çözüm yolu öngörülerek şirket müdürlerine bazı yükümlülükler getirilmiştir. Bu çalışmada, sermayesini kaybeden limited şirket için öngörülen bu çözüm yolları ve şirket müdürlerinin bu konu-daki görevleri üzerinde durulmaktadır.
Abstract
Article 546 of the former Turkish Commercial Code No. 6762 sti-pulated that the provision of Article 324 on the joint stock company uld be applied to the limited liability company if the half of its main ca-pital was lost or the amount of the company's debts was higher than its assets or if there were indications that the company was incapacitated. With this article, the former code brought some remedies to be taken in the case of capital loss or sunk in debt and assigned many important duties to the managers of the limited liability company in this regard. The same approach is kept in the current Turkish Commercial Code no. 6102 and two optional solutions are envisaged in the case of capital loss of the limited liability company and some obligations are imposed on the managers of the company. In this study, we aim to explain and discuss these solutions foreseen for those limited liability companies which lost their capitals and the obligations of the managers of the company on this matter.
