Özet

6762 sayılı eski Ticaret Kanunu, herhangi bir ayrıma gitmeksizin, anonim ile sermayesi paylara bölünmüş komandit ş irketlerin tümünün ve ortak sayısı yirmiden fazla olan limited ş irketlerin genel kurul toplantılarında Bakanlık Komiserinin bulunmasını şart koş makta, bu şarta uyulmadan alınan genel kurul kararlarını geçersiz saymakta idi. 6102 sayılı yeni Türk Ticaret Kanunu Tasarısında da herhangi bir ayrım yapılmaksızın bütün anonim ş irketlerin genel kurullarında Bakanlık Temsilcisinin bulunması öngörülmüş tü. Ancak, Türkiye Büyük Millet Meclisi genel kurulunda verilen önergelerle TTK Tasarısının Bakanlık Temsilcisi bulundurma yükümlülüğüne iliş kin düzenlemesi kapsamı daraltılarak yasalaş tı ve 1 Temmuz 2012 tarihinde yürürlüğe girdi. Bakanlık Temsilcisi bulundurulacak genel kurul toplantıları ise ağırlıklı olarak ikincil düzenlemeler ile açıklığa kavuş turuldu. İş te bu çalış mamızda, Türk Ticaret Kanununa ve ikincil düzenlemelere göre Bakanlık temsilcisi bulundurulması zorunlu olan ve olmayan genel kurul toplantıları ele alınmaktadır.

Abstract

Under the Act No. 6762, the Previous Turkish Code of Commerce, without any distinctions, all of the corporations; the limited liability companies; and the limited partnerships with more than twenty partners, were required to have a ministry inspector present at the their board of directors’ meetings; and any decision of the Board of Directors’ taken in the absence of this ministry inspector, would be be null, and void. Under the proposed draft of the Act No. 6102, the New Turkish Code of Commerce, the same requirement was provided for in the Board of Directors of all the corporations, without any distinctions. However, the bills proposed by the Turkish Grand National Assembly’s plenary committee, narrowed the scope of this requirement; and the bill, which was voted into law in this way went into effect on the 1st of July, 2012. The Board of Directors’ meetings, when the Ministry Representative must be present, were mainly clarified by regulations. In this study, we examine the Board of Directors’ meetings when the Ministry Representative must, or must not be present under the Turkish Code of Commerce, and its regulations.
