Özet
6102 sayılı Türk Ticaret Kanununa göre anonim ve limited şirket ortakları, taahhüt ettikleri sermaye koyma borcunu yerine getirmekle yükümlüdür. Söz konusu borcu ifa etmeyen ortaklar hakkında anılan Kanunda bazı yaptırımlar öngörülmüştür. Bu yaptırımlardan biri de, ortağın ortaklıktan çıkarılmasıdır (ıskatıdır). Iskat kapsamında yönetim organı, mütemerrit ortağın payını satıp yerine başkasını almaya yetkilidir. Iskat sadece ıskata konu paylar için yapılabilir. Bedelleri ödenmiş olan paylar hakkında ıskat işlemi uygulanamaz. Iskat edilen ortağın, temerrüt konusu paylardan kaynaklanan ortaklığı sona erer. Ancak bir ortak hakkında ıskat müessesesinin uygulanabilmesi için TTK'da öngörülen tüm şekil şartlarına titizlikle uyulmuş olması şarttır. İşte bu çalışmada, anonim ve limited şirketlerde pay bedelini ifa borcunu yerine getirmeyen ortaklar hakkında uygulanan ıskat müessesesi detaylı olarak irdelenmiş ve değerlendirilmiştir.
Abstract
In accordance with the Turkish Commercial Code (TCC) number 6102, shareholders of joint-stock and limited liability companies have to fulfil their capital commitments payable. There are several sanctions in the so called law TCC for unpaid capital commitments. One of these sanctions is the exclusion of shareholder from the company. In the context of exclusion, board members of joint-stock companies and managers of limited liability companies have the right to sell the shares of defaulting shareholder and also take a new shareholder instead. Defeat is limited to unpaid shares. Shares which are paid are not subject to defeat. The shareholder title that stems from the unpaid shares do not exist any longer. However, the procedures and principles provided by TCC must be strictly followed before the exclusion of a shareholder. Here, in this study, exclusion of joint stock and limited liability companies' shareholders due to unpaid capital commitments is analyzed and evaluated in detail.
