Özet

6102 sayılı yeni Türk Ticaret Kanunu'na göre, anonim şirket pay sahiplerinden her biri, pay sahipliği haklarının kullanılabilmesi için gerekli olduğu takdirde belirli olayların özel bir denetimle açıklığa kavuşturulmasını, gündemde yer almasa bile genel kuruldan isteyebilir. Ancak, özel denetim talebinde bulunacak olan pay sahibinin, genel kurulda bu yönde bir talepte bulunmadan önce, bilgi alma ve inceleme hakkını kullanmış olması gerekir. Bununla birlikte, gerek özel denetim isteme hakkının gerek bunun ön şartı olan bilgi alma ve inceleme hakkının kullanımı, bir dizi prosedür ve genelde mahkemeye müracaatı zorunlu kılan bir yapı arz ettiğinden, pay sahibi açısından uzun ve zahmetli bir süreci beraberinde getirecek, bu nedenle pay sahipleri anılan hakların kullanımında fazlaca istekli olmayabilecektir. Bu nedenle, anonim şirket pay sahiplerinin, bilgi alma, inceleme ve özel denetim talebinde bulunmak yerine, şüpheli gördükleri ve şirketin zararına sebebiyet verdiğini düşündükleri şirket işlemleri ve hesaplarının, Bakanlık denetim elemanları tarafından denetlenmesini talep edebilmeleri mümkündür. Bu çalışmada, 6102 sayılı yeni Türk Ticaret Kanunu'na göre, anonim şirket pay sahiplerinin Bakanlık denetimi talebinde bulunurken hangi hususlara dikkat edeceği ve şirketin hangi işlemlerinin anılan denetiminin kapsamına girdiği üzerinde durulacaktır.

Abstract

According to the new Turkish Commercial Code, Nu. 6102, each of the shareholders of a joint stock company may request from the general assembly, even if it is not on the agenda, that certain events should be clarified by a special audit, in order to exercise shareholder rights. But, a preliminary clause has been foreseen by Law in order to reduce the risk of abuse of the special audit request and the damage to the company. This preliminary clause is to use the right of receiving information or examining before the special audit is required. However, both the right to request special audit and the right to receive information and examine, compels some procedures and generally concludes with a compulsory application to the court. These will lead to a long and laborious process, thus, shareholders may not be very willing to use the rights. For this reason, it is possible that shareholders may require the supervision of the Ministry to audit the company's transactions and accounts that they consider to be suspicious and may cause damage to the company, rather than asking for information, examination and special inspection. In this study, we aim to explain the issues that shareholders of the joint stock company should pay attention when they request the supervision of the Ministry and what transactions of the company are included in this supervision, under the terms of the new Turkish Commercial Code.
