H LİMİTED ŞİRKET GENEL KURULUNUN TOPLANMASI VE KARAR ALMASI

Özet

Limited şirketin iki zorunlu organı vardır. Bunlar genel kurul vemüdürlerdir. Genel kurul limited şirketin karar organıdır ve ortaklardanoluşur. Genel kurul sürekli bir organ değildir. Belirli zamanlarda toplanırve karar alır. Eski Ticaret Kanununda olduğu gibi, Yeni Ticaret Kanununda da genel kurulun üst organ niteliği kabul edilmeyerek, organlararası işlevler ayrılığı benimsenmiştir. Yeni Ticaret Kanununda genelkurulun yetkileri bakımından ikili bir ayırım yapılmıştır. TK 616/I’desayılan yetkiler genel kurulun devredilemez yetkileridir. TK 616/II’desayılan yetkiler ise, ancak şirket sözleşmesinde öngörüldüğü takdirdedevredilemez nitelik kazanırlar. TK 616/III’e göre, tek ortaklı limitedşirkette, bu ortak genel kurulun tüm yetkilerine sahiptir. Tek ortağın genel kurul sıfatıyla alacağı kararların geçerlilik kazanabilmesi için yazılıolmaları şarttır.

Abstract

The limited company has two mandatory bodies. These are general assembly and managers. The general assembly is the decision-making body of the limited company and consists of partners. The general assembly is not a permanent body. It meets at certain times and makes decisions. As in the old Commercial Code, in the New Commercial Code, the separation of functions between organs was adopted by not accepting the upper body qualification of the general assembly. A bilateral distinction was made in the New Commercial Code in terms of the powers of the general assembly. The powers listed in TK 616 / I are the non-transferable powers of the general assembly. The powers listed in TK 616 / II, on the other hand, become non-transferable only if stipulated in the company contract. According to TK 616 / III, in a singlepartner limited company, this partner has all the powers of the general assembly. In order for the decisions to be taken by a single partner as a general assembly, to be valid, they must be in writing.
