Özet

6102 sayılı Türk Ticaret Kanunu (TTK), anonim ve limited şirketin hem tek gerçek veya tüzel kişi ile kurulmasına hem de halen çok ortaklı olanların da paylarının bir kişide toplanıp tek kişi ortaklığı olarak devamına izin vermektedir (m. 338/1, 2; 573/1, 574/1). Tek kişilik anonim şirket, TTK m. 379 hükmü çerçevesinde kendi paylarını iktisap edebilir ve rehin olarak kabul edebilir, şu kadar ki, tek paysahibi olacak şekilde kendi payının tamamını iktisap edemez (m. 338/3). Aynı hüküm limited şirket için de geçerlidir (m. 374/2). TTKdaki anonim şirket genel kurullarına ilişkin prosedür ve diğer formalitelere, tek paysahipli anonim şirket genel kurullarında önce hangi koşullar altında uyulup uyulmayacağı sorunu; daha sonra diğer sorunların çözümlenmesi gerekmektedir. Çünkü, kanunda yer alan anonim şirket genel kurul toplantılarına ilişkin hükümler genel olarak çok ortaklı durum dikkate alınarak düzenlenmiş olup, tek kişi anonim şirkete dair özel hükümlere pek yer verilmemiştir. Dolayısıyla konunun özel olarak incelenmesi özellikle uygulamada ortaya çıkabilecek sorunların aşılması açısından yararlı olacaktır.

Abstract

Turkish Commercial Code No 6102 (TTK) allows joint stock companies and limited liability companies to be set up by one (real or legal) person. The said Code further allows joint stock companies and limited liability companies with many shareholders to accumulate all company shares in the hands of one shareholder and thus continue as single-member companies (m. 338/1, 2; 573/1, 574/1). Pursuant to TTK m. 379, single-member joint stock companies may purchase their own shares or accept them as pledge. However such companies cannot become sole shareholder by purchasing all their shares (m. 338/3). The same rule also applies to limited liability companies (m. 374/2). The problem as to how single-member joint stock companies shall comply with the procedure and other formalities in the TTK regarding general meetings of joint stock companies as well as other problems must be resolved. This is because the provisions in the TTK regarding general meetings of joint stock companies have been devised by taking into account companies with many shareholders. There are a few special provisions regarding single-member joint stock companies. As a result, it is important to take a closer look at this subject to prevent problems likely to arise in practice.
