KOOPERATİF ORTAKLIKLARDA YÖNETİM KURULUNUN OLUŞUMU

Özet

Türk Hukukunda kooperatif ortaklıklara ilişkin ana düzenleme 24.4.1969 tarih ve 1163 sayılı Kooperatif Kanunu"dur. Bunun dışında bazı kooperatif türleri özel kanunlarla düzenlenmiştir. Mevcut düzenlemede, kooperatif yönetim kurulunun oluşumunda aranan bazı şartlar çağın gerisinde kalmaktadır. 6102 sayılı Türk Ticaret Kanunu ile anonim şirketlerde kurumsal yönetim ilkeleri ile yönetim sağlanmıştır. Kooperatiflerin de yasal düzenlemeler yapılarak kurumsal yönetim ilkeleri gereğince yönetilmesinin yolu açılmalıdır. Çalışmanın konusu, kooperatif ortaklıkların icra organı olan yönetim kurulunun oluşumu ile sınırlandırılmıştır.

Abstract

The main regulation of cooperative partnerships with Turkish Law No. 1163 dated 04.24.1969 CooperativesAct. Other than that, some types of cooperatives organized by special laws. In the present embodiment, some of the conditions for the formation of cooperative board of directors falls short of the age. With the Turkish Commercial Code No. 6102 joint-stock companies provided management with theprinciples of corporate governance.In accordance with the corporate governance principles also management of cooperatives, making legal regulations should be established. Subject of this study, which is the executive body of the cooperative partnerships, limitedbythe formation of the board of directors.
