Özet
Türk Ticaret Kanunu m. 176da bölünmeye katılan şirketlerin ikinci dereceden müteselsil sorumlulukları düzenlenmiştir. Ancak bu sorumluluğun sınırlandırılması konusunda herhangi bir hükme yer verilmemiştir. Bu çalışmanın amacı, söz konusu müteselsil sorumluğun şartlarının ve bu sorumluğun sınırlandırılmasının mümkün olup olmadığının incelenmesidir.
Abstract
In so f ar as a creditor of the company to which the obligation has been transf erred in accordance with the draf t terms of division has not obtained satisf action, the recip ient companies shall be j ointly and severally liable f or that obligation (Art. 176 of TCC No. 6102). But this liabilty is not limited. The subj ect of this study is explaining the said article and determining whether it is possible to limit the liability.
