Özet

Sözleşmenin kurulması ile ifa zamanı arasında ortaya çıkan bazı durumlar nedeniyle bir tarafın sözleşmeyi ileride ihlal edeceğinin anlaşılması durumunda, diğer tarafın ifa menfaati korunmalı ve çeşitli imkanlara başvurabilmesi gerekmektedir. Bu durumda, henüz gerçekleşmiş aktüel bir sözleşmeye aykırılık bulunmamakta; diğer bir deyişle öncelenmiş sözleşmeye aykırılık hali gündeme gelmekte ve buna göre, bir tarafın hareketlerinden veya beyanlarından yükümünü ifa etmeyeceği belli olmakta ya da objektif olgulardan hareketle sözleşmenin ihlal edileceği anlaşılmaktadır. CISG m. 71, 72 ve 73'de düzenlenmiş olan öncelenmiş sözleşmeye aykırılık kurumunda iki temel yaptırım öngörülmüştür; ifayı askıya alma hakkı ve sözleşmeden dönme hakkı. İfa menfaati tehlikeye düşen tarafın hangi imkanı kullanacağı sözleşme ihlalinin ağırlığına ve ifa zamanında ihlalin gerçekleşme ihtimaline göre değişebilmektedir. Kuşkusuz, bu imkanlarla birlikte, söz konusu tarafın CISG m. 74 vd. uyarınca tazminat talep etme hakkı da bulunmaktadır. Ancak önemle belirtelim ki, öncelenmiş sözleşmeye aykırılık halinde bir tarafa tanınan bu imkanlar karşısında, diğer tarafın da menfaati gözetilerek, yeterli teminat göstermesi durumunda ona söz konusu yaptırımları engelleyebilme olanağı tanınmıştır.

Abstract

In cases where it becomes apparent that either party will commit a breach of contract due to certain circumstances emerged between conclusion of the contract and the time of performance, other party's expectation interest should be preserved, and accordingly diverse remedies ought to be granted him. In such cases, in substance, there is no any kind of actual breach, i.e., the breach is deemed to have been anticipated. Anticipatory breach of contract may come into existence where one party to contract has evinced his intention (by declaration or conduct) not to perform his obligation or, considering the objective factors, it becomes clear that an obligation would not be fulfilled. In the event of anticipatory breach which is reflected in CISG art. 71, 72, 73, two basic remedies is provided for; suspension of performance and avoidance of contract. Which remedy the aggrieved party would exercise may differ as to how serious the breach is and how certain the anticipation is. Of course, along with these remedies, the party whose expectation interest is damaged has the right to demand compensation as per CISG art. 74 et seq. However, it should be noted that in case of anticipatory breach, on the one hand the CISG confers on the aggrieved party legal remedies, on the other hand breaching party, having regard to his interests, has an opportunity to preclude these remedies from being rendered by providing adequate assurance.
