ŞİRKETLER TOPLULUĞU VE TÜZEL KİŞİLİK PERDESİNİN KALDIRILMASI İLKESİ

Özet

Günümüz ticaret hayatının ihtiyaçları ve gerçekleri ile tüzel kişilik kavramı daha karmaşık bir hale gelmiştir. Örneğin ticaret hayatı filii bir gerçek olan, adeta bir oksimoron sayılabilecek tek kişilik şirket kavramını ortaya çıkartmış, yine ihtiyaçlardan ve fiili gerçeklerden grup şirketler meydana gelmiştir. 6102 sayılı TTK bu ihtiyaçlara ve gerçeklere gözünü kapatmamıştır. Ancak diğer yandan, tüzel kişiliği güncel tüzel kişilik teorileri ile izah etmek artık çok daha zor bir hale gelmiş- tir. Tüzel kişiliğin kötüye kullanımı da ticaret hayatının bir gerçeğidir. Bu çalışmada tüzel kişiliğin açıklayan teorilere değinilmiş, devamında tüzel kişilik perdesinin kaldırılması hususu grup şirket olarak bilinen TTK md. 195 vd. düzenlenen Şirketler Topluluğu bakımından ele alınmaya çalışılmıştır.

Abstract

The facts and requirements of todays business life make the corporate legal person notion more complicated. For instance, business life introduces a factual notion sole corporation which can be deemed as an oxymoron, yet group companies results from the reuirements and facts. Turkish Trade Code No 6102 does not turn a blind eye to these requirements and facts. Nevertheless it became more difficult to explain the corporate legal person through todays corporate theories. It is a fact of business life to misuse corporate legal person. The theories which explain the corporate legal person is dealt in this study, afterwards the issue of lifting the corporate veil is trying to be dealt with regard to multicorporate enterprise which is known as group company and enacted in Article 195 et seq. of Turkish Trade Code.
