Özet

Her ne kadar tek satıcılık sözleşmesi; satış, satış için tevdii, hiz- met, vekâlet, acentelik ve adi ortaklık sözleşmelerine benzese de tek satıcılık sözleşmesi, tamamen veya kısmen kanunun öngördüğü sözleş- me tiplerinin hiçbirinde bulunmayan unsurlardan meydana geldiği için, kendine özgü yani sui generis yapıdadır. Bu nedenle tek satıcılık söz- leşmesine, benzediği sözleşmelere ilişkin özel hükümler ancak uygun düştüğü ölçüde, kıyasen uygulanabilir. Bir görüşe göre, adi ortaklıklara benzerliği nedeniyle tek satıcılık sözleşmesi bakımından fesih bildirim süresinin belirlenmesinde, adi ortaklık sözleşmesine ilişkin hükümler kıyasen uygulanmalıdır. Bu görüşe göre, belirsiz süreli adi ortaklık söz- leşmelerinde uygulanan altı aylık fesih bildirim süresi, tek satıcının stok- ta kalan mallarını eritmesi ve yeni duruma uyum sağlaması bakımından yeterli bir süredir. Ancak birbirinden oldukça farklı özelliklere sahip piyasalarda (örneğin kozmetik, tekstil, otomotiv, gıda gibi) tek satıcılık sözleşmelerinin yapıldığı dikkate alındığında, bazı tek satıcılık sözleş- meleri bakımından altı aylık sürenin yeterli olamayacağı kanaatine ula- şılmaktadır. Yani fesih bildirim süresinin belirlenmesinde bir genelleme yapılması, tek satıcılık sözleşmesinin kendine özgü yapısına uygun de- ğildir. Buna göre, fesih bildirim süresinin somut olayın koşullarına göre tespit edilmesi gerekir.

Abstract

Though the exclusive dealership contract is similar to some cont- racts such as sales, employment, simple agency and simple partnership, since the exclusive dealership contract is a combination of the elements which are not wholly or partially included in any of the contract types regulated by law, has a sui generis structure. Therefore, special provisi- ons related to the similar typical contracts are applicable mutadis mu- tandis to the exclusive dealership contract when these provisions fit in with the contract. According to some, special provisions related to the termination of the simple partnership established for an indefinite dura- tion should be applied mutadis mutandis to the termination of the exclu- sive dealership contract concluded for an indefinite duration because six months’ notice period is enough for the exclusive dealer to adapt to new situation and destock. But six months’ time period cannot be enough for each exclusive dealership contract because exclusive dealership cont- racts are concluded in several markets which have quite different cha- racteristics (cosmetics, textile, automotive, food etc.). In other words, generalisation of the period of notice of termination does not fit in with sui generis structure of the exclusive dealership contract. As a result, the period of notice of termination should be determined individually in each case.
