Özet

27.01.2013 tarihinde 28541 sayılı Resmi Gazete’de yayınlanan Ticaret Sicil Yönetmeliği m. 105/1 şirketler topluluğu kavramını tanımlayan bir düzenleme içermektedir. Buna göre bir şirketler topluluğu bir hâkim ve en az iki bağlı şirketten oluşur. Oysa 6102 sayılı Türk Ticaret Kanunu m. 195’e göre en küçük şirketler topluluğu için bir hâkim ve bir de bağlı şirketin bulunması yeterlidir. Görüldüğü üzere Ticaret Sicil Yönetmeliği m. 105/1 Türk Ticaret Kanunu m. 195 hükmüne açıkça aykırılık teşkil etmektedir. Oysa normlar hiyerarşisine göre yönetmelikler daha üst derecedeki düzenlemelere aykırı olamaz. Dolayısıyla, bir şirketler topluluğunun en kaç bağlı şirketten oluşacağına ilişkin sorununun çözümünde TSY değil TTK hükümlerinin dikkate alınması gerekmektedir.

Abstract

The Trade Registry Regulation published in the Off icial Gazette on 27 January 2013 and numbered 28541 includes an arrangement which def ines the concept of “corporate groups ” in art. 105/1. According to this norm, a corporate group consists of a parent company and at least two subsidiaries. However art. 195 of the Turkish Commercial Code Nr. 6102 states that a corporate group requires a parent company and a subsidiary. As it is shown, art. 105/1 of the Trade Registry Regulation contradicts with the art. 195 of the Turkish Commercial Code. According to hierarchy of norms, a regulation can not contradict with the regulations with higher degrees. Theref ore art. 195 of the Turkish Commercial Code should be taken into consideration on the solution of the problem of the minimum number of the subsidiaries of a corporate group instead of art. 105/1 of the Trade Registry Regulation.
