Özet

Anonim ve limited şirketler ile kooperatiflerin tasfiye süreçleri birçok prosedürün ifasını gerektiren uzun ve maliyetli bir süreçtir. Oysa, 6102 sayılı yeni Türk Ticaret Kanunu, 1 Temmuz 2014 tarihine kadar münfesih olmasına veya sayılmasına karşın tasfiye edilmeyerek ticaret sicili kayıtlarından terkin edilemeyen anonim ve limited şirketler ile kooperatiflerin kolay ve hızlı bir şekilde tasfiye edilmelerine imkan tanı- maktadır. Bu imkan, sözkonusu şirketler ile kooperatiflere harç ve bazı vergi istisnaları da tanımaktadır. İşte bu çalışmada, 1 Temmuz 2014 tarihine kadar kolaylaştırılmış (hızlandırılmış) tasfiye ve terkin imkanından faydalanabilecek olan anonim ve limited şirketleri nasıl bir sürecin beklediği ele alınmaktadır.

Abstract

The Dissolution stage of the corporations, limited partnerships, and co-operative companies is a time consuming, and expensive process, which involves the performance of many procedures. However, recently enacted, 6102 numbered Turkish Code of Commerce allows the simplified, and expedited dissolution of corporations, limited partnerships, and cooperative companies that were annulled, or deemed to be annulled till the date of July 1, 2014, which did not dissolve, and were not erased from the records of commercial registries. Also, this opportunity allows the aforementioned companies, and cooperatives some exemptions from filing fees, and certain taxes. Thus, in this study, we write about the process that awaits the corporations, and limited partnerships, which would benefit from the simplified (expedited) dissolution, and cancellation opportunity till the date of July 1, 2014.
