Özet

Tacir, ticari işletmesinin hacmini artırmak ve piyasadaki faaliyet alanını genişletmek için hem 6098 sayılı Türk Borçlar Kanunu’nda (TBK) hem de 6102 sayılı Türk Ticaret Kanunu’nda (TTK) belirlenen aracılardan ve tacir yardımcılarından yararlanmaktadır. Bunlardan bağımsız ve sürekli olarak iş gören ve bu doğrultuda ticari işletmeye ilişkin sözleşmelerde aracılık etmeyi ya da bu sözleşmeleri tacir adına yapmayı üstlenen acente ve tacir arasındaki ilişkileri düzenleyen hükümler TTK 102-123. maddeleri arasında yer almaktadır. Acentenin ticari işletmeye kazandırdığı müşteri çevresinden müvekkilin önemli menfaatler elde etmesi fakat sözleşme sonrasında acentenin ücrete hak kazanamayacak olması nedeniyle, acentenin bu kaybı ile müvekkilin elde ettiği ekonomik değer, hakkaniyet gereğince müvekkilin yapacağı denkleştirme ödemesiyle dengelenmelidir. Bu çalışmada acentenin söz konusu denkleştirme talebi hakkı acentelik sözleşmesi bağlamında ele alınacaktır.

Abstract

Merchant, with a view to increasing the volume of business of the commercial enterprise and widening the sphere of the business activity, has been making use of intermediaries and assistants which is set out both under the Turkish Code of Obligations No. 6098 (TCO) and the Turkish Commercial Code No. 6102 (TCC). The provisions regulating the relationship between the principal and the commercial agent, who is under a duty to act in continious and independent manner and whereby undertakes to negotiate and complete transactions pertaining to the commercial enterprise in the name of principal, are found in Art. 102 to 123 of TCC. By reason of the fact that the principal derives substantial benefits from new or existing customers brought by the commercial agent to the commercial enterprise, however, after the cessation of the agency contract, the commercial agent will be exposed to loss of commission, this loss of commission and economic value acquired by the principal ought to be balanced with indemnity payment to be made by the principal in accordance with equity. In this article, the commercial agent’s right to claim indemnity will be addressed in the context of agency contract.
