Özet
Anonim ortaklığın karar alma ve uygulama süreci, ortaklığın iki temel organı olan genel kurul ve yönetim kurulunca yerine getirilecektir. Bu noktada, kendine ait devredilemez görev ve yetkileri olan 'anonim şirketin karar organı' genel kurulun toplanıp karar alması için, nasıl bir yol izlenip hangi şartlara uyulması gerektiği ve bu şartlara uyulmaması halinde ortaya çıkacak olan hukuki durumun tespiti büyük öneme sahiptir. Genel kurulun toplanması için gerekli oran/sayı 'toplantı nisabı' olarak isimlendirilirken, karar alması için gerekli oran/sayı ise 'karar nisabı' olarak isimlendirilmektedir. TTK m. 418/1 ve 421/1 düzenlemeleri uyarınca, genel kurulun karar alabilmesi için esas sözleşmede birçok konuda kanuni düzenlemedekinden daha yüksek bir nisap öngörülebilecek olsa bile, daha düşük bir nisap öngörülemeyecektir. Gerçekleştirilecek olan genel kurulda, ortaklığın anonim ve sermaye ortaklığı yapısı sebebiyle, toplantı nisaplarına ilişkin hesapta pay sahibi adedi değil, ortaklığın (esas ya da çıkarılmış) sermayesine katılım oranı esas alınmıştır.1 Bu sebeple oy gücünün ölçüsü de oransallık ilkesi gereğince- sermayeye katılım oranıdır.2 Şüphesiz ki bu kuralın istisnası, imtiyazlı paylardır. TTK m. 478/2 uyarınca, eşit itibari (nominal)değerdeki paylara farklı sayıda oy hakkı verilerek oluşturulacak imtiyazlı payların üst sınırı ise bir paya en çok on beş oy hakkıyla sınırlandı- rılmıştır. Anonim ortaklık genel kurulunun geçerli bir şekilde karar alabilmesi için Kanunda ve esas sözleşmede öngörülen toplantı ve karar nisaplarına uyulması şarttır.3 Bu bağlamda genel kurul toplantılarında elektronik katılım söz konusu olduğu durumlarda nisaplarda bir değişiklik olup olmayacağı sorusu da akla gelebilir. Hemen belirtelim ki; anonim şirketlerin genel kurul toplantılarına elektronik katılım, kanunda ve ana sözleşmede öngörülebilecek nisaplarda bir değişiklik yaratmayacaktır.4 Bu çalışmada anonim ortaklık genel kurulunun karar almasında gerekli olan toplantı ve karar nisapları ve bu nisaplara uyulmaksızın alı- nan kararların hukuki durumu incelenecektir.
Abstract
The decision making, and the implimentation processes of a joint stock company, shall be executed by the General Assembly, and the Board of Directors, which are the two fundamental bodies of a joint stock company. At this point, it is of utmost importance to establish the mandatory provisions that a General Assembly of a joint stock company, which has its own special non delegable duties, and unassignable rights, must abide by when it meets to render a decision. And also it is of utmost importance to establish the ramifications of noncompliance by these provisions. The mandatory percentage/number to call a meeting of the General Assembly is called a meeting quorum; whereas, the mandatory percentage/number to render a decision is called a decision quorum. Under articles 418/1, and 421/1 of the Turkish Commercial Code, the Articles of Incorporation might provide a higher decision quorum than the quorum prescribed under the law; however, to provide a lower decision quorum than the one stated under the law is proscribed. Due to its anonymous, and the share holder structure of the joint stock company, during the meeting of the General Assembly, meeting quorums are based on the percentage of the capital (to the main, or the issued) contribution rather than the number of shareholders. For this reason, the measure of a power of a vote -based upon the principle of proportionality is a percentage of capital contribution. An exception to this rule is the preferred stocks. Under Article 478/2 of the Turkish Commercial Code, preferred stocks would be created by assigning different number of voting rights to the equal common stocks; and the preferred stocks are limited by fifteen (15) voting rights per share, at the most. For a Joint Stock Companys General Assembly to reach a valid decision, it is mandatory to abide by the meeting, and decision quorums provided under the law, and in the Articles of Incorporation. At this point there may be a question as to whether there would be a change in quorums or not, when there is an online meeting participation. We would like to point out at once that, online participation in General Assembly meetings shall not create a change in the quorums provided under the law, and in the Articles of Incorporation. This paper is on the subject of mandatory meeting, and decision quorums that must be abided by the General Assembly of the joint stock companies when rendering a decision; and the legal status of the decisions rendered without abiding by these quorums.
