Özet

Türk Borçlar Kanunu, Kira Hukukuna dair muhtelif yenilikler öngörmektedir. Bunlardan birisi, kiraya verenin on uzama yılı sonunda, herhangi bir neden göstermeksizin kira sözleşmesinin sonlandırma imkânı öngören 347. madde hükmüdür. Bu hüküm uygulamada bazı sorunlar doğurmuş, doktrinde de tartışma konusu yapılmıştır. Bu tartışmalardan biri, on yıllık sürenin ne zaman başlayacağını, diğeri bu hükmün emredicilik vasfını konu almaktadır. Bu çalışmada, Türk Borçlar Kanunu ile hayatımıza giren bu hükmü, hukuk ve ekonomi perspektifinden inceleyeceğiz. Amacımız, eğer varsa, hükmün iktisadi açıdan ratio legis’ini ortaya çıkarmak ve bu tartışmalara ekonomik etkinliği temel alan bir hukuk politikası ile katkı sağlamaktır. Bunu yaparken doğal olarak Kira Hukukunda kiracıyı koruyan bazı hükümlerin varlık nedenlerini ve 347. madde ile gelen bu istisna hükmünün konumunu ele alacağız. Bu şekilde istisna hükmünün etkin olup olmadığını ve hangi hallerde etkin olabileceğini inceleyeceğiz. Yine yerindeliğini tartışacağımız bir başka konu, Yürürlük Kanunu’nda yer alan geçiş hükümleridir. Ekonomik açıdan yapacağımız bu incelemenin, Kira Hukukundaki bu hükümlere başka bir açıdan yaklaşmanın mümkün olduğunu göstereceğini umuyoruz.

Abstract

The new Code of Obligations sets out various novel provisions with regards to the lease contracts. One of these novel provisions, the Article 347, concerns tenancy rent control regime whereby lessor, after ten years of extension, can terminate the lease contract for convenience. This termination provision has caused problems in economic life and triggered a debate in the legal doctrine. For instance there are conflicting views among legal scholars as to when this ten years period should instigate and whether this provision is mandatory. In this paper we shall analyze this novel Provision from law and economics perspective. Our aim is to reveal the economic rationale of this Provision and to contribute to this legal debate with legal policy arguments based on economic efficiency. In order to clarify the new provision, we shall first analyze the economic reasoning of tenancy rent control rules as this new provision constitutes a major exception to these rules that protect leaseholders’ interests. As such we seek to determine the conditions under which this Provision can generate efficient results. Additionally the special transition rules in the Implementation Code with regards to this provision will be explored. We hope that economic analysis will enable us to recognize that a new and alternative approach to Tenancy Control Laws is possible and fruitful.
